Common use of Third Party Providers Clause in Contracts

Third Party Providers. Reseller and other third-party providers, some of which may be listed on pages within SFDC’s website and including providers of Third-Party Applications, offer products and services related to the Platform, the SFDC Service, and/or the Reseller Application, including implementation, customization and other consulting services related to customers’ use of the Platform and/or the SFDC Service, and applications (both offline and online) that interoperate with the Platform and/or the SFDC Service such as by exchanging data with the Platform and/or the SFDC Service or by offering additional functionality within the user interface of the Platform and/or the SFDC Service through use of the Platform and/or SFDC Service's application programming interface. SFDC does not warrant any such third-party providers or any of their products or services, including but not limited to the Reseller Application or any other product or service of Reseller, whether or not such products or services are designated by SFDC as “certified,” “validated” or otherwise. Any exchange of data or other interaction between You and a third-party provider, including but not limited to the Reseller Application, and any purchase by You of any product or service offered by such third-party provider, including but not limited to the Reseller Application, is solely between You and such third-party provider. In addition, from time to time, certain additional functionality (not defined as part of the Platform or SFDC Service) may be offered by SFDC or Reseller to You, for an additional fee, on a pass-through or OEM basis pursuant to terms specified by the licensor and agreed to by You in connection with a separate purchase by You of such additional functionality. Your use of any such additional functionality shall be governed by such terms, which shall prevail in the event of any inconsistency with the terms of this SFDC Service Agreement.

Reseller PROS and other third-party providers, some of which may be listed on pages within SFDC’s website and including providers of Third-Party ApplicationsAppExchange applications, offer products and services related to the Platform, the SFDC Service, and/or the Reseller ApplicationSubscription Service, including implementation, customization and other consulting services related to customers’ use of the Platform and/or the SFDC Service, and applications (both offline and online) that interoperate with the Platform Platform, SFDC Service, and/or the SFDC Service Subscription Service, such as by exchanging data with the Platform Platform, the SFDC Service, and/or the SFDC Service Subscription Service, or by offering additional functionality within the user interface of the Platform Platform, the SFDC Service, and/or the SFDC Subscription Service through use of the Platform and/or SFDC Service's application programming interface. SFDC does not warrant any such third-party providers or any of their products or services, including but not limited to the Reseller Application Subscription Service or any other product or service of ResellerPROS, whether or not such products or services are designated by SFDC as “"certified,” “" "validated” " or otherwise. Any exchange of data or other interaction between You Customer and a third-party provider, including but not limited to the Reseller ApplicationSubscription Service, and any purchase by You Customer of any product or service offered by such third-party provider, including but not limited to the Reseller ApplicationSubscription Service, is solely between You Customer and such third-party provider. In addition, from time to time, certain additional functionality (not defined as part of the Platform or SFDC Service) may be offered by SFDC or Reseller PROS to YouCustomer, for an additional fee, on a pass-through or OEM basis pursuant to terms specified by the licensor and agreed to by You Customer in connection with a separate purchase by You Customer of such additional functionality. Your Customer’s use of any such additional functionality shall be governed by such terms, which shall prevail in the event of any inconsistency with the terms of this SFDC Service Agreement.

In addition, from time to time, certain additional functionality (not defined as part of the Platform or SFDC Service) may be offered by SFDC or Reseller to You, for an additional fee, on a pass-through or OEM basis pursuant to terms specified by the licensor and agreed to by You in connection with a separate purchase by You of such additional functionality. Your use of any such additional functionality shall be governed by such terms, which shall prevail in the event of any inconsistency with the terms of this SFDC Service Agreement.

SFDC does not warrant any such third-party providers or any of their products or services, including but not limited to the Reseller Application or any other product or service of Reseller, whether or not such products or services are designated by SFDC as “certified,” “validated” or otherwise. Any exchange of data or other interaction between You Customer and a third-party provider, including but not limited to the Reseller Application, and any purchase by You Customer of any product or service offered by such third-party provider, including but not limited to the Reseller Application, is solely between You Customer and such third-party provider. In addition, from time to time, certain additional functionality (not defined as part of the Platform or SFDC Service) may be offered by SFDC or Reseller to YouCustomer, for an additional fee, on a pass-through or OEM basis pursuant to terms specified by the licensor and agreed to by You Customer in connection with a separate purchase by You Customer of such additional functionality. Your Customer’s use of any such additional functionality shall be governed by such terms, which shall prevail in the event of any inconsistency with the terms of this SFDC Service Agreement.

In additionYou acknowledge that if Reseller serves as Your system administrator, from time Reseller may monitor your use of the Reseller Application through the Platform and may access Your Data submitted to time, certain additional functionality (not defined as part of the Platform or SFDC Service) may be offered Reseller Application. By agreeing to these Minimum Subscription Terms, you are consenting to such monitoring and access by SFDC or Reseller to You, for an additional fee, on a pass-through or OEM basis pursuant to terms specified by the licensor and agreed to by You in connection with a separate purchase by You of such additional functionality. Your use of any such additional functionality shall be governed by such terms, which shall prevail in the event of any inconsistency with the terms of this SFDC Service AgreementReseller.

Reseller and other third-party providers, some of which may be listed on pages within SFDC’s website and including providers of Third-Party ApplicationsAppExchange applications, offer products and services related to the Platform, the SFDC Service, and/or the Reseller Application, including implementation, customization and other consulting services related to customers’ use of the Platform and/or the SFDC Service, and applications (both offline and online) that interoperate with the Platform Platform, SFDC Service, and/or the SFDC Service Reseller Application, such as by exchanging data with the Platform Platform, the SFDC Service, and/or the SFDC Service Reseller Application, or by offering additional functionality within the user interface of the Platform Platform, the SFDC Service, and/or the SFDC Service Reseller Application through use of the Platform and/or SFDC Service's ’s application programming interface. SFDC does not warrant any such third-party providers or any of their products or services, including but not limited to the Reseller Application or any other product or service of Reseller, whether or not such products or services are designated by SFDC as “certified,” “validated” or otherwise. Any exchange of data or other interaction between You and a third-party provider, including but not limited to the Reseller Application, and any purchase by You of any product or service offered by such third-party provider, including but not limited to the Reseller Application, is and any related support obligations for such offering, are solely between You and such third-party provider. In addition, from time to time, certain additional functionality (not defined as part of the Platform or SFDC Service) may be offered by SFDC or Reseller to You, for an additional fee, on a pass-pass- through or OEM basis pursuant to terms specified by the licensor and agreed to by You in connection with a separate purchase by You of such additional functionality. Your use of any such additional functionality shall be governed by such terms, which shall prevail in the event of any inconsistency with the terms of this SFDC Service Agreement.

SFDC does not warrant any such third-party third­party providers or any of their products or services, including but not limited to the Reseller Application or any other product or service of Reseller, whether or not such products or services are designated by SFDC as “"certified,” “" "validated” " or otherwise. Any exchange of data or other interaction between You and a third-party third­party provider, including but not limited to the Reseller Application, and any purchase by You of any product or service offered by such third-party third­party provider, including but not limited to the Reseller Application, is solely between You and such third-party third­party provider. SFDC does not warrant any such third-party providers or any of their products or services, including but not limited to the Reseller Application or any other product or service of Reseller, whether or not such products or services are designated by SFDC as “"certified,” “" "validated” " or otherwise. Any exchange of data or other interaction between You and a third-party provider, including but not limited to the Reseller Application, and any purchase by You of any product or service offered by such third-party xxxxx provider, including but not limited to the Reseller Application, is solely between You and such third-party provider. Reseller ERX and other third-party providers, some of which may be listed on pages within SFDC’s website and including providers of Third-Party ApplicationsAppExchange applications, offer products and services related to the Platform, the SFDC ServiceServices, and/or the Reseller ApplicationERX Managed Package, including implementation, customization and other consulting services related to customers’ use of the Platform and/or the SFDC ServiceServices, and applications (both offline and online) that interoperate with the Platform Platform, SFDC Services, and/or the SFDC Service ERX Managed Package, such as by exchanging data with the Platform Platform, the SFDC Services, and/or the SFDC Service ERX Managed Package, or by offering additional functionality within the user interface of the Platform Platform, the SFDC Services, and/or the SFDC Service ERX Managed Package through use of the Platform and/or SFDC Service's Services' application programming interface. SFDC does not warrant any such third-party providers or any of their products or services, including but not limited to the Reseller Application ERX Managed Package or any other product or service of ResellerERX, whether or not such products or services are designated by SFDC as “"certified,” “" "validated” " or otherwise. Any exchange of data or other interaction between You and a third-party provider, including but not limited to the Reseller ApplicationERX Managed Package, and any purchase by You of any product or service offered by such third-party provider, including but not limited to the Reseller ApplicationERX Managed Package, is solely between You and such third-party provider. In addition, from time to time, certain additional functionality (not defined as part of the Platform or SFDC ServiceServices) may be offered by SFDC or Reseller ERX to You, for an additional fee, on a pass-through or OEM basis pursuant to terms specified by the licensor and agreed to by You in connection with a separate purchase by You of such additional functionality. Your use of any such additional functionality shall be governed by such terms, which shall prevail in the event of any inconsistency with the terms of this SFDC Service Agreement. You acknowledge that ERX, from time to time, may receive a referral fee in connection with the referral to third party providers and You consent to the same.

SFDC does not warrant any such third-party providers or any of their products or services, including but not limited to the Reseller Application or any other product or service of Reseller, whether or not such products or services are designated by SFDC as “certified,” “validated,” or otherwise. Any exchange of data or other interaction between You and a third-party provider, including but not limited to the Reseller Application, and any purchase by You of any product or service offered by such third-party provider, including but not limited to the Reseller Application, is solely between You and such third-party provider. In addition, from time to time, certain additional functionality (not defined as part of the Platform or SFDC Service) may be offered by SFDC or Reseller to You, for an additional fee, on a pass-through or OEM basis pursuant to terms specified by the licensor and agreed to by You in connection with a separate purchase by You of such additional functionality.
