The Total Commitment and the Advances. 2.1 The Term Loan Facility 2.1.1 Agreement to lend: The Lenders, relying upon each of the representations and warranties in clause 7, agree to lend to the Borrower upon and subject to the terms of this Agreement, the principal sum of up to Seven hundred million Dollars (US$700,000,000). The obligation of each Lender under this Agreement shall be to contribute that proportion of each Advance in respect of the Term Loan Facility which, as at the Drawdown Date of such Advance, its Commitment in respect of the Term Loan Facility bears to the Total Commitment in respect of the Term Loan Facility.
