The Servicer Not to Resign. The Servicer shall not resign from the obligations and duties hereby imposed on it except upon determination that (i) the performance of its duties hereunder is no longer permissible under applicable law and (ii) there is no reasonable action which the Servicer could take to make the performance of its duties hereunder permissible under applicable law. Any such determination permitting the resignation of the Servicer shall be evidenced as to clause (i) above by an Opinion of Counsel and as to clause (ii) by an Officer’s Certificate, each to such effect delivered to the Trustee. No such resignation shall become effective until the Trustee or a Successor successor Servicer shall have assumed the responsibilities and obligations of the Servicer in accordance hereunder. Any delegation of duties permitted under subsection 3.1 shall not relieve the Servicer of its liability and responsibility with Section 10.02 hereof. If respect to such duties, and shall not constitute a resignation within the Trustee is unable within 120 days meaning of the date of such determination to appoint a Successor Servicer, the Trustee shall serve as Successor Servicer hereunderthis subsection 3.8.

If the Trustee is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Trustee shall serve as Successor Servicer hereunder.

Any such determination permitting the resignation of the Servicer shall be evidenced as to clause (ia) above by an Opinion of Counsel and as to clause (ii) by an Officer’s Certificate, each to such effect delivered to the Owner Trustee and the Indenture Trustee. No such resignation shall become effective until the Indenture Trustee or a Successor Servicer shall have assumed the responsibilities and obligations of the Servicer in accordance with Section 10.02 7.2 hereof. If the Indenture Trustee is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Indenture Trustee shall serve as Successor Servicer hereunder.

The Servicer Not to Resign. The Servicer shall not resign from the obligations and duties hereby imposed on it except upon determination that (i) the its performance of its duties hereunder is no longer permissible under applicable law and (ii) there is no reasonable action which the Servicer could take without incurring material liabilities to make the its performance of its duties hereunder permissible under applicable law. Any such determination permitting the resignation of the Servicer shall be evidenced as by an Opinion of Counsel who is not an employee of the Servicer or any Affiliate of the Servicer with respect to clause (i) above by an Opinion of Counsel above, delivered to, and as to clause (ii) by an Officer’s Certificatein form reasonably satisfactory to, each to such effect delivered to the Trustee. No such resignation shall become effective until the Trustee or a Successor Servicer shall have assumed the responsibilities and obligations of the Servicer in accordance with Section 10.02 hereof. If the Trustee is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Trustee shall serve as Successor Servicer hereunder10.02.

The Servicer Not to Resign. The Servicer shall not resign from the obligations and duties hereby imposed on it except upon determination that (ia) the performance of its duties hereunder is no longer permissible under applicable law and (iib) there is no reasonable action which the Servicer could take to make the performance of its duties hereunder permissible under applicable law. The Backup Servicer shall become the Successor Servicer upon such resignation. If there is no backup servicer engaged at the time to become the Successor Servicer and the Indenture Trustee is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Indenture Trustee shall serve as Successor Servicer hereunder.

No such resignation shall become be effective until the Trustee or a Successor Servicer shall have assumed the responsibilities and obligations of the Servicer in accordance with Section 10.02 11.02 hereof. If the Trustee is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Trustee shall serve as Successor Servicer hereunder.-------------

If the Trustee Custodian is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Trustee Custodian shall serve as Successor Servicer hereunder.

The Servicer Not to Resign. The Servicer shall not resign from the obligations and duties hereby imposed on it except upon determination that (i) the performance of its duties hereunder is no longer permissible under applicable law and (ii) there is no reasonable action which the Servicer could take to make the performance of its duties hereunder permissible under applicable law. Any such determination permitting the resignation of the Servicer shall be evidenced as to clause (i) above by an Opinion of Counsel and as to clause (ii) by an Officer’s CertificateCertificate of the Servicer, each to such effect delivered to the TrusteeTrustee and the Transferor. No such resignation shall become effective until the Trustee or a Successor Servicer shall have assumed the responsibilities and obligations of the Servicer in accordance with Section 10.02 hereof. If the Trustee is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Trustee shall serve as Successor Servicer hereunder.hereunder.‌‌

If the Trustee is unable ; provided, that if within 120 one hundred twenty (120) days of the date that the Servicer notifies the Trustee of such determination its resignation in accordance with this Section 8.05 the Trustee does not receive any bids from Eligible Servicers in accordance with Section 10.02(c) to appoint a act as Successor Servicer, then the Trustee shall serve as automatically be appointed Successor Servicer hereunderin accordance with Section 10.02.

Any such determination permitting the resignation of the Servicer shall be evidenced as to clause (i) above by an Opinion of Counsel and as to clause (ii) by an Officer’s Certificate, each to such effect delivered to the Trustee. No such resignation shall become effective until the Trustee or a Successor Servicer shall have assumed the responsibilities and obligations of the Servicer in accordance with Section 10.02 10.2 hereof. If the Trustee is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Trustee shall serve as Successor Servicer hereunderhereunder but shall have continuing authority to appoint a Successor Servicer.

No such resignation shall become effective until the Trustee or a Successor Servicer shall have assumed the responsibilities and obligations of the Servicer in accordance with Section 10.02 10.2 hereof. The Trustee shall give prompt notice to each Rating Agency upon the appointment of a Successor Servicer. If the Trustee is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Trustee shall serve as Successor Servicer hereunder.

If the Trustee Collateral Agent is unable within 120 days of the date of such determination to appoint a Successor Servicer, the Trustee Collateral Agent shall serve as Successor Servicer hereunderhereunder subject to the provisions of Section 10.2 hereof.
