Pursuant to Section 610 of the Indenture, the Resigning Trustee hereby gives notice to the Company of its resignation as Trustee, Registrar, Paying Agent and all other appointments under the Indenture, effective as of the date hereof and the Company hereby waives any additional requirement as to notice under the Indenture.
