The Project Designer Sample Clauses
The Project Designer. The duties and responsibilities and the limitations of authority of the Project Designer during construction are set forth in the Contract Documents and shall not be extended without written consent of CITY and the Project Designer. Generally, unless otherwise specifically provided in the Contract Documents, the Project Designer will perform the following functions:
A. Design the Project and prepare all Projects Plans and Specifications.
B. Assist in Bidding, respond to pre-bid questions and requests for clarifications.
C. Attend Pre-bid Conference.
D. Issue any necessary Addenda.

The Project Designer. 3.7.1. 3.7.2. The Lead Design Firm holds percent ( _%) of the rights in the Project Designer and the Local Design Firm holds percent (_ %) of the rights in the Project Designer.
3.7.3. The Project Designer undertakes that the Lead Design Firm will continue to hold, for the entire Agreement Period, at least fifty one percent (51%) of the rights in the Project Designer and the Local Design Firm will continue to hold, for the entire Agreement Period no more than forty nine percent (49%) of the rights in the Project Designers unless otherwise approved by the Company.
3.7.4. The Project Designer is not incorporated and will not be incorporated as a limited liability company or as a limited partnership for the entire Agreement Period.
3.7.5. The Lead Design Firm and the Local Design Firm, will be bear all obligations and undertakings of the Project Designer under the Agreement and any applicable law, on a joint and several basis, according to their respective share in the Project Designer.
3.7.6. It is hereby clarified that any provision in the Agreement that is directed, refers to or mentions the Project Designer, explicitly or by implication, shall be, in any event, interpreted and considered, for all purposes, as directing, referring to, or mentioning, as the case may be, each of the Lead Design Firm and the Local Design Firm.
3.7.7. The Project Designer was created by virtue of an agreement signed between the Lead Design Firm and the Local Design Firm, whose provisions include and shall continue to include for the entire Agreement Period the conditions set forth in Sections 3.7.2 to 3.7.6 above.
3.7.8. The Project Designer and anyone acting on its behalf (including the Management Staff and Team Members) possess the necessary experience, knowledge, expertise, and professional capabilities for the performance of the Services in a timely manner and in accordance with this Agreement.
3.7.9. Without derogating from any other provision in the Agreement, the Project Designer represents that as of the Signature Date all representations, warranties, information, data and documents provided by the Project Designer or anyone else, contained in any written statement or in any other document...
