The License. The License (i) is in full force and effect; (ii) may be freely assigned to Envision; (iii) is not subject to any current default by Sundog or, to the reasonable best knowledge of Sundog, by QV; and (iv) is not subject to any outstanding, or to the reasonable best knowledge of Sundog, threatened disputes or disagreements.
