The First Phase. The Parties shall establish a joint holding company (the “Holding Company”) which will become the parent company that wholly owns the Parties, and the Parties will become wholly owned subsidiaries of the Holding Company, by means of a joint share transfer [kyoudo-kabushiki xxxx] (the “Share Transfer”), as provided for in Article 364 of the Commercial Code. The scheduled share transfer date shall be September 28, 2005. Accompanying the Share Transfer, the Parties will be delisted and the Holding Company shall be newly listed.

The First Phase undertake rigorous in-depth academic research on GVC-related issues About 10-15 important topics will be built around a central theme for each issue which will be selected by a Coordinating Team (hereinafter referred to as the Team) designated by the Parties with consultation from academic and policy experts. Subject experts, selected by the Team, will be invited to conduct in-depth research for each of these selected topics. Background papers will be written based on independent research findings by subject experts. The invited authors will have between 12-15 months to produce a final draft for review by the Team. The invited author(s) may be staff from the Parties, or leading experts in the related field from other institutions. The papers can be academic, policy oriented, or both; each background paper will contain the results of original academic research, findings which have not been previously reported or published in any form.

  • Production Phase contract period in which the Development and the Production are to be performed.

  • Preconstruction Phase The Preconstruction Phase shall mean the period commencing on the date of this CM/GC Contract and ending upon commencement of the Construction Phase; provided that if the Owner and CM/GC agree, the Construction Phase may commence before the Preconstruction Phase is completed, in which case both phases shall proceed concurrently, subject to the terms and conditions of the Contract Documents.

  • PRE-CONSTRUCTION PHASE FEE The Pre-Construction Phase Fee is the total compensation payable to Contractor for the performance of Pre-Construction Phase Services, except for Additional Pre-Construction Phase Services approved in advance and in writing by Owner. The Pre-Construction Phase Fee shall be a lump sum amount based on the AACC established in this Agreement.

  • PRE-CONSTRUCTION PHASE SERVICES The Pre-Construction Phase shall be deemed to commence upon the date specified in a written Notice to Proceed with Pre-Construction Phase Services issued by Owner and shall continue through completion of the Construction Documents and procurement of all major Subcontractor agreements. Contractor is not entitled to reimbursement for any costs incurred for Pre-Construction Phase Services performed before issuance of the written Notice to Proceed. Pre-Construction Phase Services may overlap Construction Phase Services. Contractor shall perform the following Pre-Construction Phase Services:

  • Pre-Construction Phase Employer’s Liability, Workers’ Compensation, Comprehensive General Liability and Comprehensive Automobile Liability in the amounts as set forth in the UGSC.

  • Post-Construction Phase A. Upon written authorization from Owner, Engineer, during the Post-Construction Phase, shall:

  • Construction Phase Fee Contractor’s Construction Phase Fee is the maximum amount payable to Contractor for any cost or profit expectation incurred in the performance of the Work that is not specifically identified as being eligible for reimbursement by Owner elsewhere in this Agreement.
