THE COMPANY REPRESENTS AND WARRANTS THAT. (a) It is an insurance company duly organized and in good standing under the laws of the State of Ohio and that it has legally and validly established the Account prior to any issuance or sale thereof as a segregated asset account and that the Company has and will maintain the capacity to issue all Contracts that may be sold; and that it is and will remain duly registered, licensed, qualified and in good standing to sell the Contracts in all the jurisdictions in which such Contracts are to be offered or sold;
