The Company Documents. Each of the Company Documents has been duly authorized by the Company; the Indenture, the Guarantee and the Trust Agreement, upon effectiveness of the Registration Statement was or will have been duly qualified under the Trust Indenture Act; and when duly executed and delivered in accordance with its terms by each of the parties thereto, each Company Document will constitute a valid and legally binding agreement of the Company enforceable against the Company in accordance with its terms, except as enforceability may be limited by applicable bankruptcy, insolvency or similar laws affecting the enforcement of creditors’ rights generally or by equitable principles relating to enforceability (collectively, the “Enforceability Exceptions”).

The Company Documents. True and complete copies of the Company Articles, bylaws, and other corporate governance documents, agreements or instruments, each as in effect on the Agreement Date, and organizational minute books and records of the Company, have been made available for inspection by Buyer.

I further agree that any property situated on the Company's premises and owned by the Company, including disks and other storage media, filing cabinets or other work areas, is subject to inspection by Company personnel at any time with or without notice.   • Title Company Documents All affidavits, gap indemnity agreements and other documents reasonably required by the Title Company. At Buyer’s sole expense, Buyer shall have obtained an irrevocable commitment directly from the Title Company (or in the event the Title Company is not willing to issue said irrevocable commitment, then from such other national title company as may be selected by either Buyer or Seller) for issuance of an Owner’s Policy of Title Insurance to Buyer insuring good and marketable fee simple absolute title to the Real Property constituting part of the Property, subject only to the Permitted Exceptions in the amount of the Purchase Price.
