The Assistant Secretary. The Assistant Secretary, or if there be more than one, the Assistant Secretaries in the order designated by the Board (or in the absence of any designation, in the order of their election) shall, in the absence of the Secretary, or in the event of his or her inability or refusal to act, perform the duties and exercise the powers of the Secretary and shall perform such other duties and have such other powers as may from time to time be prescribed by the Board.

The Assistant Secretary. During the absence or disability of the Secretary, the Assistant Secretary or, if there be more than one, the one so designated by the Secretary, the President or the Board of Managers, shall have all the powers and functions of the Secretary. The Assistant Secretary shall perform all such other duties as may be prescribed by the Secretary, the President, or the Board of Managers.
The Assistant Secretary. In the absence of the Secretary, whether due to resignation, incapacity or any other cause, or in the event of the Secretary’s death, inability or refusal to act, the Assistant Secretary shall perform the duties of the Secretary and, when so acting, shall have all the powers of and be subject to all the restrictions upon the Secretary. The Assistant Secretary shall exercise such powers only so long as the Secretary remains absent or incapacitated, or until the Board appoints a new Secretary. The Assistant Secretary also shall perform such other duties as from time to time may be assigned to him or her by the President or by the Board. The initial Assistant Secretary shall be Xxxxx X. Court.

The Assistant Secretary of Borrower shall have executed the Certificate of Resolution attached to this Amendment; and
The Assistant Secretary. If the Board of Directors elects an Assistant Secretary, that officer may perform all duties that the Secretary is authorized to perform under applicable law, under these By-Laws, and under any resolution of the Board of Directors that is consistent with applicable law and with these By-Laws.
