Territory Compliance. Lian shall not, and shall ensure its Affiliates and Sublicensees do not, directly or indirectly: (i) promote, sell or distribute the Licensed Product outside the Field in the Territory, or (ii) actively promote, sell or distribute the Licensed Product for any use outside the Territory, which other territories are exclusively reserved to Nanobiotix, its Affiliates or its licensees. Nanobiotix shall not, and shall ensure its Affiliates and Sublicensees (other than Lian) do not, directly or indirectly, actively promote, sell or distribute the Licensed Product for any use within the Territory (other than to Lian, its Affiliates, Sublicensees or other designees).
Territory Compliance. Acucela shall use diligent lawful efforts to take the actions reasonably necessary to prevent importation or sales of Collaboration Products sold by Acucela into the Otsuka Territory by a Third Party, and Otsuka shall use diligent lawful efforts to take the actions reasonably necessary to prevent importation or sales of Collaboration Products sold by Otsuka into the Acucela Territory by a Third Party.
Territory Compliance. (a) CYTOVIA and its Affiliates or other partners and licensees shall not, directly or indirectly, actively Commercialize the Product in the Territory.
Territory Compliance. ACADIA and its Affiliates and licensees (i) shall not, directly or indirectly, commercialize any Product in the Field in the Territory, subject to the right to co-promote upon exercise of the Co-Promotion Option, and (ii) shall promptly cease selling or distributing any Product to any Third Party, or otherwise assisting any Third Party, who is commercializing or attempting to commercialize or distribute any Product in the Field in the Territory. BLS and its Affiliates, Distributors and Sublicensees (A) shall not, directly or indirectly, commercialize the Product outside the Territory or outside the Field in the Territory and (B) shall promptly cease selling or distributing the Product to any Third Party, or otherwise assisting any Third Party, who is commercializing or attempting to commercialize or distribute the Product outside the Territory or outside the Field in the Territory.
Territory Compliance. Alexza and its Affiliates and licensees (i) shall not, directly or indirectly, commercialize the Product in the Field in the U.S., and (ii) shall promptly cease selling or distributing the Product to any Third Party, or otherwise assisting any Third Party, if any of Alexza, its Affiliates, or licensees are aware that such Third Party is commercializing or attempting to commercialize or distribute the Product in the Field in the U.S. Teva and its Affiliates, Distributors and Sublicensees (x) shall not, directly or indirectly, commercialize the Product outside the Field in the U.S. or for any use outside the U.S., and (y) shall promptly cease selling or distributing the Product to any Third Party, or otherwise assisting any Third Party, if any of Teva or its Affiliates, Distributors and Sublicensees are aware that such Third Party is commercializing or attempting to commercialize or distribute the Product outside the Field in the U.S. or for any use outside the U.S.
Territory Compliance. AN2 and its Affiliates: (i) shall not, directly or indirectly, Commercialize any Licensed Product in the Licensed Territory; (ii) shall not knowingly engage in any advertising or promotional activities relating to Licensed Products that are directed primarily to customers or other purchaser or users of Licensed Products located in the Licensed Territory; (iii) shall not actively solicit orders for Licensed Products from any prospective purchaser located in the Licensed Territory; and (iv) shall promptly cease selling or distributing any Licensed Product to any Third Party, or otherwise assisting any Third Party, who is Commercializing or attempting to Commercialize or distribute any Licensed Product in the Licensed Territory. Brii Bio and its Affiliates, Distributors and Sublicensees: (A) shall not, directly or indirectly, Commercialize the Licensed Product in the XX0 Xxxxxxxxx; (B) shall not knowingly engage in any advertising or promotional activities relating to Licensed Products that [***] Certain information in this document has been omitted from this exhibit because AN2 Therapeutics, Inc. has determined that it is both (i) not material and (ii) is of the type that would customarily and actually be treated as private or confidential. 26

VBI and its Affiliates (i) shall not, directly or indirectly, commercialize any Licensed Product in the Licensed Territory, whether inside or outside of the Field, and (ii) shall promptly cease selling or distributing any Licensed Product to any Third Party, or otherwise assisting any Third Party, who is commercializing or attempting to commercialize or distribute any Licensed Product in the Licensed Territory. Brii Bio and its Affiliates, Distributors and Sublicensees (A) shall not, directly or indirectly, commercialize the Licensed Product in the VBI Territory or outside the Field in the Licensed Territory, and (B) shall promptly cease selling or distributing the Licensed Product to any Third Party, or otherwise assisting any Third Party, who is commercializing or attempting to commercialize or distribute the Licensed Product in the VBI Territory or outside the Field in the Licensed Territory.
Territory Compliance. Except as the Parties may otherwise agree in writing, Brii Bio and its Affiliates, Distributors and Sublicensees: (x) shall not, directly or indirectly, commercialize Licensed Product in the VBI Territory or outside the Field in the Licensed Territory; and (y) shall promptly cease selling or distributing Licensed Product to any Third Party, or otherwise assisting any Third Party, who is commercializing or attempting to commercialize or distribute Licensed Product in the VBI Territory or outside the Field in the Licensed Territory.
