The Purchaser may load, copy, or transmit CMS, in whole or in part, only as is necessary for execution, backup, and hot standby. * Purchaser may modify or merge CMS solely for execution by itself. Any part of this Software included in such adaptations will continue to be subject to this License. * HLP shall bill the Purchaser a Support & Maintenance FEE periodically using the formula under “Payment”. This bill is due and payable within thirty days of receipt. * HLP reserves the right to revoke this License if the Support & Maintenance FEE becomes delinquent and is not remedied 30 days after notification in writing. The Purchaser shall then cease use of CMS. * Xxxxxxxxx agrees not to reverse engineer, decompile, or disassemble CMS.

During the Restriction Period, you shall have all of the rights of a shareholder, including the right to vote the total Award Shares and the right to receive dividends thereon, if any dividends are paid. Any part of this Software included in such adaptations will continue to be subject to this License. * Purchaser agrees to maintain necessary internet links to allow for a consolidated search of shelter data. * HLP agrees to maintain a neutral, commercial free internet site for the sole purpose of achieving a consolidated search. All ‘hits’ are immediately linked to the local Shelter home page. * Images and data extracts created by PUBLIC ACCESS are intended for use by the Purchaser only. Transfer or sale of PUBLIC ACCESS images by the PURCHASER to other non-licenses entities for commercial purposes is forbidden. * HLP shall bill the Purchaser a Support & Maintenance FEE periodically using the formula under “Payment”. The terms, conditions, restrictions and purpose of this Conservation Easement shall be inserted by Grantor in any subsequent deed or other legal instrument by which Grantor divests itself of any interest in the land(s) described in Exhibit A or B. 2.2.1 The Software and the Documentation shall be used: (i) solely at the Installation Sites, by Nextel and its employees and/or Independent Contractors, provided that the CMA Software and CellQUEST Software may be used anywhere in the Territory; and (ii) solely for the purpose of supporting the design and operation of the Systems. In no event shall the Software or the Documentation be used for the purpose of processing data for or otherwise supporting any cellular radiotelephone or digital mobile telephone system which is located outside the Territory or which is operated by any person other than Nextel. Nextel agrees to operate the Software only as prescribed in the Documentation.

The Purchaser shall then cease use of the CDC interface. * Xxxxxxxxx agrees not to reverse engineer, decompile, disassemble or modify in any manner any part of the CDC interface. * Purchaser agrees to take all necessary steps to protect knowledge of the CDC program processes, schema, and technology that are proprietary and confidential to HLP from any and all non-licensed entities.

These components, if any, are identified in, and subject to, special license terms and conditions set forth in either the “[readme].txt” file or the [notices.txt] file accompanying the Product (“Special Notices”). In the event of conflict between the Special Notices and the other portions of this Agreement, the Special Notices will take precedence (but solely with respect to the non-proprietary third party component(s) to which the Special Notice relates). Terms and Restrictions a. The terms and conditions of the Permanent non-exclusive Pick-up Easement remain the same; except that the Pick-up Easement width can be up to 35 ft. for the rights granted therein between Grantor’s cooling water discharge facilities and Grantee’s water desalination plant.
b. The terms and conditions of the Temporary Construction Easement area are as follows:
(a) The Temporary Construction Easement areas shall not be used in any manner that will prevent or unreasonably restrict ingress and egress.
(b) Grantee may install a trailer as a field office in the area shown on the attached Exhibit B and may install temporary fencing or barricades in the Temporary Construction Easement areas when deemed necessary to construction, operation, upgrade, replacement, repair, or maintenance activities.
(c) Following completion of construction, upgrade, replacement, repair or maintenance activities, Grantee shall remove any stockpiled materials and temporary structures associated with said activities.
(d) Following completion of any construction, upgrade, replacement, repair, or maintenance activities, Grantee shall repair or replace any improvements disturbed or damaged by such activities.
(e) The Temporary Construction Easement shall terminate upon completion of the Tunnel 1 improvements project.
