AGENT - a trusted person: a legal entity, business or an individual who performs, within the limits of the authority received, actions on behalf and in the interests of another person of the Principal. This person provides services for a certain fee. RESELLER - a legal person or business who buys services or goods from the Principal at a preferential price for resale and profit and resells the services and goods to the attracted Customers. PARTNER - an Agent and/or Reseller. POTENTIAL CUSTOMER - means an entity that could be promoted to the client/end-user based on the results of market research or market analysis. CUSTOMER/END USER for the Agent means an entity engaged by the Agent in the execution of this Agreement and with whom the Principal has subsequently entered into an Agreement for the provision of services by the Principal. CUSTOMER/END USER for the Reseller - means a person who has concluded an Agreement with the Reseller for the services of the Principal. BASIC AGREEMENT - applicable solely to the Reseller under the text of this agreement. Agreement between the Principal and the Reseller under which the Principal sells services to the Reseller at a preferential price. WEBSITE - the Principal's information system located on the Internet at: __________ PERSONAL ACCOUNT - the individual account of the Agent/Reseller on the Website. TERMS AND DEFINITIONS USED IN THE AGREEMENT. For the purposes of the Agreement the below terms shall have the following meanings: Payer – any capable natural person who has concluded this Agreement with the Operator regarding the use of the Processing Center. Parties – Operator and Payer, jointly referred to in the text Processing Center – a complex of software, hardware, telecommunications and telecommunications networks for the operation of the automated system of exchange of information required for making payments, providing information and technological cooperation between the Operator, Payers and Providers. Website – Operator’s official website, located at xxxx://xxx.xxxx0xxx.xxx, containing information about the Processing Center and the terms and conditions of the use. Provider – a legal entity, or individual entrepreneur without a legal entity, selling goods or providing services via Internet, or by other means, and is an Operator’s principal in accordance with the concluded agreement. Payment agent – a legal entity, including a credit institution which is entitled to take the cash and / or electronic cash as Payment for goods / services purchased from Providers, which had entered into the agreement with the Operator to receive payments. Payment – funds deposited by the Payer to the Operator of the Processing Center for the purchase from the seller of goods / services in accordance with the terms of this Agreement. Order – a selection, made by Payer, from the certain goods / services of the Provider, which indicates the intention of the Payer to conclude a deal with the Provider on purchase of these goods / services.
