TERMS AND CONDITIONS OF SERVICE. Customer's use of the WOW! Services is specifically subject to this Agreement, and Customer's agreement to: (i) the Business Customer General Terms and Conditions (the "General Terms"), ; and (ii) use the Services strictly in accordance with any operating, privacy, DMCA and/or use policies (the “Service Policies”), and applicable service or product specific terms and guides; and (iii) applicable WOW! Tariffs. The General Terms, Service Policies and Tariffs are located at xxxx://xxx.xxxxxxxxxxxxxx.xxx/policies-and-terms, may be modified by WOW! from time to time in accordance with the General Terms and/or applicable law, and are incorporated herein by reference and made a part of this Agreement. Any new terms or policies adopted by WOW!, or any modifications to the existing terms and/or policies will, subject to any notice provisions of the General Terms and applicable law, become effective upon posting a new version of the document on the WOW! Web site at xxxx://xxx.xxxxxxxxxxxxxx.xxx/policies-and-terms (or any successor url(s)). Accordingly, customers and users of the WOW! Services should regularly visit our web site and review these terms and conditions policy to ensure that their activities conform to the most recent version. Notwithstanding the forgoing, if WOW! makes a change to the General Terms that applies to Customer and is material and adverse to Customer, Customer has thirty (30) days following notice of the change to terminate the Agreement without the imposition of early termination charges. Customer's continued receipt of services shall be deemed acceptance of any such change. If WOW! agrees not to apply the changed Terms to you, the Agreement is not subject to early termination. Use of the Services for resale or in any other way where the WOW! Services are used by Customer to provide service to Customer end users must be authorized in writing by WOW!. Customer is fully responsible for any such use, which may be subject to additional terms, restrictions and policies. In the event of inconsistency among these documents, precedence will be as follows: (1) any jointly executed amendment or addendum to this Agreement ("Addendum"), (2) any service or product specific terms; (3) the General Terms, (4) the Service Policies, and (5) this Customer Agreement.

TERMS AND CONDITIONS OF SERVICE. These Terms and Conditions for SuperGreen Multi-Year Electricity Service Agreement (Agreement) establish the requirements for customer entering into a long- term electricity supply contract with CleanPowerSF. The CleanPowerSF Terms and Conditions attached hereto will also apply to customer’s service. To the extent of any conflict between the terms of this Agreement and the CleanPowerSF Terms and Conditions, the terms of this Agreement will take precedence. LEED CREDIT ELIGIBILITY: CleanPowerSF cannot guarantee that, by entering into this Agreement, customer will be eligible for, or receive credits toward, the U.S. Green Building Council’s Leadership in Energy and Environmental Design (LEED) certification. CleanPowerSF is not responsible for any changes to the LEED program requirements during the term of the service contract.

Customer shall be responsible for any such Service Misuse. 2 Management: Points of Contact • Customer shall provide and maintain a contact list: o with correct telephone and email information for service escalation that indicates who to contact, at what priority level, and the precedent of the contact order, and o for Change Management authorization • Customer shall identify points of contact with decision-making and approval authority. • All Points of Contact must be reachable so CBTS can report alarms, outages, emergencies, etc. CBTS will not be responsible for any actions taken or not taken as a result of Customer’s failure to respond. 3 Access Customer shall provide onsite and remote network and system access as required for CBTS Employees and for ENOC Systems. 4 3rd Party License Agreements Customer agrees to comply with each third party end-user license agreement ("XXXX"). Terms in the XXXX may require that Customer execute the XXXX by an authorized signature. 5 Security Disclaimer CBTS does not guarantee that Services will eliminate all risk or prevent damage from network or system security breaches. 6 Taxes, Surcharges and Fees Customer will pay all applicable taxes, regulated fees including but not limited to, the Universal Service Fund (USF), Administrative Recovery Fee (ARF), 911 charges, and any additional charges or fees (non-reoccurring charges (NRC) that are not specific to a DID); Pricing on Services Agreement does not include these amounts.
