Termination; Rights on Termination. Executive’s employment is at-will but the benefits, if any, Executive receives upon termination are dependent on the reason for termination and are described below in this Section 4. Upon termination of Executive’s employment for any reason, Executive agrees to resign, effective on the Termination Date, or shall be deemed to have resigned, from all positions that Executive holds as an officer or member of the Board (or a committee thereof), or any of the Company’s Affiliates; provided, however, that any such resignation shall not impact or otherwise diminish Executive’s rights to compensation upon termination as provided in this Section 4.
