Common use of Termination of Restrictions Clause in Contracts

Termination of Restrictions. The restrictions set forth in this paragraph 2 shall continue with respect to each Shareholder Share until the earlier of (i) the date on which such Shareholder Share has been transferred in a Public Sale, (ii) the consummation of an Approved Sale or (iii) the consummation of the Company's initial public offering of its equity securities (the "IPO").

Termination of Restrictions. The restrictions set forth in this paragraph Section 2 shall continue with respect to each Shareholder Stockholder Share until the earlier of (i) the date on which Transfer of such Shareholder Stockholder Share has been transferred in a Public Sale or an Approved Sale, or (ii) the consummation of an Approved Sale or (iii) the consummation of the Company's initial public offering of its equity securities (the "IPO")a Public Offering.

Termination of Restrictions. The restrictions set forth in this paragraph SECTION 2 shall continue with respect to each Shareholder Stockholder Share until the earlier of (i) the date on which such Shareholder Stockholder Share has been transferred in a Public Sale, (ii) the consummation of an Approved Sale or a Public Offering and (iii) the consummation of the Company's initial public offering of its equity securities (the "IPO")an Approved Sale.

Termination of Restrictions. Termination of Restrictions. The restrictions set forth in this paragraph Section 2 shall continue with respect to each Shareholder Stockholder Share until the earlier of (i) the date on which such Shareholder Share has been transferred in consummation of a Public Sale, Sale of the Company and (ii) the consummation of an Approved Sale or (iii) the consummation of the Company's initial public offering of its equity securities (the "IPO").

The restrictions set forth in this Section 2 shall also terminate with respect to the shares of Preferred Stock if the Company completes an Approved Sale IPO (as defined in the Certificate of Incorporation) and such shares of Preferred Stock are not redeemed or (iiiconverted into shares of Common Stock pursuant to Section 4(b) the consummation of the Company's initial public offering Certificate of its equity securities (the "IPO")Incorporation.

Termination of Restrictions. The restrictions set forth in this (i) paragraph 2 4(b) shall continue with respect to each Shareholder Stockholder Share until the earlier of (iA) the date on which Transfer of such Shareholder Stockholder Share has been transferred in a Public Sale, Sale or an Approved Sale and (iiB) the consummation of a Qualified Public Offering and (ii) paragraph 4(c) shall continue with respect to each Stockholder Share until the Transfer of such Stockholder Share in a Public Sale or an Approved Sale or (iii) the consummation of the Company's initial public offering of its equity securities (the "IPO")Sale.
