Common use of Termination of Existing Credit Agreement Clause in Contracts

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory to the Administrative Agent.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence satisfactory to the Administrative Agent that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or be simultaneously terminated, all amounts thereunder shall be simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably arrangements satisfactory to the Administrative AgentAgent shall have been made for the termination of Liens and security interests granted in connection therewith.

Termination of Existing Credit Agreement. The Administrative Agent shall have received sufficient evidence indicating that contemporaneously with the principal execution and closing of this Agreement all obligations of the Borrower to the lenders and interest on the loans under, and all other amounts owing agents under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory (other than with respect to the Administrative Agentletters of credit issued thereunder which, on the Closing Date, will constitute Letters of Credit issued hereunder) and the Existing Credit Agreement shall be terminated (excluding any obligations which expressly survive the repayment of the amounts owing under the Existing Credit Agreement).

Termination of Existing Credit Agreement. The Administrative Agent shall have received satisfactory evidence that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full terminated and all commitments to extend credit thereunder of any lender amounts thereunder shall have been terminated, paid in each case in a manner reasonably satisfactory to the Administrative Agentfull.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence that of the principal termination of and interest on the loans under, and all other amounts owing commitments of the Existing Banks under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid and payment in full of all Obligations (as defined in the Existing Credit Agreement) outstanding under the Existing Credit Agreement, and the termination and release of all commitments to extend credit thereunder of any lender thereunder shall have been terminatedguarantees and security interests granted under the Existing Credit Agreement and the other Credit Documents (as defined in the Existing Credit Agreement), in each case in a manner form and substance reasonably satisfactory to the Administrative Agent.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence satisfactory to the Administrative Agent that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or be simultaneously terminated, all amounts thereunder shall be simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably arrangements satisfactory to the Administrative Agent shall have been made for the termination (or assignment to the Administrative Agent) of Liens and security interests granted in connection therewith.

Termination of Existing Credit Agreement. The Administrative Agent shall have received satisfactory evidence that concurrently with the principal occurrence of the Closing Date the Borrower has paid any Loans (as defined under the Existing Credit Agreement), liabilities and interest on the loans under, and all other amounts owing obligations under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full (other than the letters of credit referred to in Section 3.09) and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory to has terminated the Administrative AgentCommitments (as defined under the Existing Credit Agreement) thereunder.

Termination of Existing Credit Agreement. The On or before the Closing Date, the Administrative Agent shall have received satisfactory evidence that the principal of Borrower has paid the Loans (as defined under the Existing Credit Agreement), liabilities and interest on the loans under, and all other amounts owing obligations under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory to has terminated the Administrative AgentCommitments (as defined under the Existing Credit Agreement) thereunder.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence that the principal of reasonably satisfactory to it that, simultaneously herewith, all principal, interest, fees and interest on the loans under, and all other amounts owing by the Borrower under or the Existing Credit Agreement shall have been paid in respect offull, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full terminated and all commitments to extend credit thereunder of any lender Liens thereunder shall have been terminated, in each case in terminated and released. Each Lender party hereto which is also a manner reasonably satisfactory party to the Administrative AgentExisting Credit Agreement hereby agrees that any notice of termination required under the Existing Credit Agreement is hereby deemed to have been waived.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence that a letter from the principal of and interest on the loans under, and all other amounts owing administrative agent under or in respect of, the Existing Credit Agreement shall to the effect that all amounts outstanding thereunder, if any, have been (or shall simultaneously be) paid in full full, that no letters of credit are issued under the Existing Credit Agreement and all commitments that the obligations of the lenders thereunder to extend make further extensions of credit thereunder of any lender thereunder shall pursuant to the Existing Credit Agreement have been terminated, in each case in a manner reasonably satisfactory to the Administrative Agent.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminatedevidence, in each case in a manner form and substance reasonably satisfactory to the Administrative Agent., that all principal, interest and other amounts outstanding in connection with the Existing Credit Agreement has been or substantially concurrently with the Closing Date is being repaid in full and terminated and all Liens relating thereto shall have been terminated and released (or arrangements reasonably satisfactory to the Administrative Agent shall have been made therefor). 57

Termination of Existing Credit Agreement. The On or before the Closing Date, the Administrative Agent shall have received satisfactory evidence that the principal of Borrower has paid the Loans (as defined under the Existing Credit Agreement), liabilities and interest on the loans under, and all other amounts owing obligations under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full (other than the letters of credit referred to in Section 3.09) and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory to has terminated the Administrative AgentCommitments (as defined under the Existing Credit Agreement) thereunder.

Termination of Existing Credit Agreement. The Evidence satisfactory to the Administrative Agent shall have received evidence that the all principal of and interest on the loans extensions of credits outstanding under, and all other amounts owing under or in respect ofunder, the Existing Credit Agreement shall have been (or shall be simultaneously bewith the Closing Date ) paid in full full, and all the Borrower shall have irrevocably directed the Administrative Agent to apply the proceeds from the initial Credit Extension hereunder toward such payment in full, and that any commitments to extend credit thereunder of any lender thereunder shall under the Existing Credit Agreement have been (or shall be simultaneously with the Closing Date) canceled or terminated, in each case in a manner reasonably satisfactory to the Administrative Agent.;

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence that satisfactory to the principal of and interest on Administrative Agent that, except for the loans underRevolver, and any agreement governing Borrower's existing bank indebtedness shall be simultaneously terminated, all other amounts owing under or in respect of, the Existing Credit Agreement thereunder shall have been (or shall be simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably arrangements satisfactory to the Administrative AgentAgent shall have been made for the termination of Liens and security interests granted in connection therewith.

Termination of Existing Credit Agreement. The Administrative Agent shall have received satisfactory evidence that the principal of and interest on the loans under, and all other amounts owing under or in respect of, (i) the Existing Credit Agreement and all commitments thereunder shall have been (or terminated and all amounts thereunder shall simultaneously be) have been paid in full and all commitments to extend credit thereunder of any lender thereunder (ii) satisfactory arrangements shall have been terminated, made for the termination of all Liens granted in each case in a manner reasonably satisfactory to the Administrative Agentconnection therewith.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full and all commitments to extend credit under the Existing Credit Agreement have been or are simultaneously being terminated and that all loans thereunder and other amounts payable in respect thereof have been or are simultaneously being paid in full, and that arrangements for the termination of any lender the Liens thereunder (or transfer of the Liens created thereunder to the Administrative Agent hereunder) shall have been terminated, in each case completed in a manner reasonably satisfactory to the Administrative Agent.

Termination of Existing Credit Agreement. The Administrative Agent shall have received satisfactory evidence that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been terminated and that any amounts owing thereunder by the Borrower shall have been (or shall simultaneously upon the occurrence of the Closing Date be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory to the Administrative Agentfull.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence satisfactory to it that the principal of and interest on the loans under, and all other amounts owing commitments under or in respect of, the Existing Credit Agreement shall have expired or been (or shall simultaneously be) paid in full terminated and all commitments to extend credit thereunder of any lender amounts then due and payable thereunder shall have been terminated, in each case in a manner reasonably satisfactory to the Administrative Agentpaid.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence evidence, in form and substance satisfactory to it, that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall has been terminated on or before the Closing Date, and all outstanding loans made to the Company pursuant thereto have been (repaid on or shall simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory to before the Administrative AgentClosing Date.

Termination of Existing Credit Agreement. The Evidence satisfactory to the Administrative Agent shall have received evidence that the all principal of and interest on the loans extensions of credits outstanding under, and all other amounts owing under or in respect ofunder, the Existing Credit Agreement shall have been (or shall be simultaneously bewith the Closing Date) paid in full full, and, if applicable, the Borrower shall have irrevocably directed the Administrative Agent to apply the proceeds from the initial Credit Extension hereunder toward such payment in full, and all that any commitments to extend credit thereunder of any lender thereunder shall under the Existing Credit Agreement have been (or shall be simultaneously with the Closing Date) canceled or terminated, in each case in a manner reasonably satisfactory to the Administrative Agent.;

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence satisfactory to it that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have has been (or shall simultaneously be) paid in full terminated and all commitments to extend credit thereunder of any lender loans outstanding, interest thereon and other amounts due and payable thereunder shall have been terminated, repaid in each case in a manner reasonably satisfactory to the Administrative Agentfull.

Termination of Existing Credit Agreement. The Administrative ---------------------------------------- Agent shall have received evidence that the principal of and interest on the loans under, and all other amounts owing Commitments to extend credit under or in respect of, the Existing Credit Agreement have been or are simultaneously being terminated and that all loans thereunder and other amounts payable in respect thereof have been or are simultaneously being paid in full, and that arrangements for the termination of the Liens thereunder (or transfer of the Liens created thereunder to the Administrative Agent hereunder) shall have been (or shall simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case completed in a manner reasonably satisfactory to the Administrative Agent.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence satisfactory to it that (i) the principal of Transaction has been consummated and interest on (ii) promptly upon funding the loans under, and all other amounts owing initial Advance the Commitments under or in respect of, the Existing Credit Agreement Agreements shall have been (or shall simultaneously be) paid in full terminated and all commitments to extend credit thereunder of any lender the indebtedness for borrowed money outstanding thereunder shall have been terminated, in each case in a manner reasonably satisfactory to the Administrative Agentretired.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence reasonably satisfactory to the Administrative Agent that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or be simultaneously terminated, all amounts thereunder shall be simultaneously be) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner arrangements reasonably satisfactory to the Administrative AgentAgent shall have been made for the termination of Liens and security interests granted in connection therewith.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence that the reasonably satisfactory to it that, simultaneously herewith, all principal of interest, fees and interest on the loans under, and all other amounts owing by the Company under or the Existing Credit Agreement shall have been paid in respect offull, the Existing Credit Agreement shall have been (or shall simultaneously be) paid in full terminated and all commitments to extend credit thereunder of any lender Liens thereunder shall have been terminated, in each case in a manner reasonably satisfactory to the Administrative Agentterminated and released.

Termination of Existing Credit Agreement. The Administrative Agent shall have received evidence to its satisfaction that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or will be upon the initial borrowings and issuance of Letters of Credit hereunder on the Closing Date and the application of the proceeds thereof) terminated and the obligations of the Company and its Subsidiaries thereunder shall simultaneously behave been (or will upon such borrowing and application of proceeds) paid in full and all commitments to extend credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory to the Administrative Agentfully satisfied.

Termination of Existing Credit Agreement. The Administrative Agent shall have received satisfactory evidence that the principal of and interest on the loans under, and all other amounts owing under or in respect of, the Existing Credit Agreement shall have been (or terminated and all amounts thereunder shall simultaneously be) have been paid in full and all commitments to extend credit thereunder of any lender thereunder satisfactory arrangements shall have been terminated, made for the termination of all Liens granted in each case in a manner reasonably satisfactory connection therewith or the assignment thereof to the Administrative Agent.

Termination of Existing Credit Agreement. The Administrative ---------------------------------------- Agent shall have received satisfactory evidence that the principal obligations of and interest on the loans under, and all other amounts owing Borrower under or in respect of, the Existing Credit Agreement shall be terminated upon the payment of all amounts due and payable thereunder and that all such amounts shall have been (or shall simultaneously be) paid in full and all commitments to extend or shall be paid in full with the proceeds of the initial extensions of credit thereunder of any lender thereunder shall have been terminated, in each case in a manner reasonably satisfactory to the Administrative Agenthereunder.

Termination of Existing Credit Agreement. The Evidence satisfactory to the Administrative Agent shall have received evidence that the all principal of and interest on the loans extensions of credits outstanding under, and all other amounts owing under or in respect ofunder, the Existing Credit Agreement shall have been (or shall be simultaneously bewith the Closing Date ) paid in full full, and all the Borrower shall have irrevocably directed the Administrative Agent to apply the proceeds from the initial Credit Extension hereunder toward such payment in full, and that any commitments to extend credit thereunder of any lender thereunder shall under the Existing Credit Agreement have been (or shall be simultaneously with the Closing Date) canceled or terminated, in each case in a manner reasonably satisfactory to the Administrative Agent.; and
