Termination for Death. If the Executive’s employment is terminated by death pursuant to Section 4.3, the Company shall pay to the estate of the Executive the compensation which would otherwise be payable to the Executive under Section 3.1 of this Agreement through the last day of her actual employment by the Company

Termination for Death. If the Executive’s 's employment is terminated by death pursuant to Section 4.3hereunder shall terminate upon Executive's death. In such event, the Company shall pay to Executive's estate his Base Salary until the estate end of the Executive month in which the death occurred, all accrued but unused vacation pay, all deferred compensation which would otherwise be payable owed to the Executive under Section 3.1 of this Agreement through the last day of her actual employment by the Companyany other agreements, and all unreimbursed expenses which are reimbursable pursuant to Article 4 incurred prior to his death.

In that event, the Company shall pay to Executive’s estate the estate equivalent of the Executive the compensation which would otherwise be payable to the Executive under Section 3.1 of this Agreement through the last day of her actual employment by nine month’s severance pay in accordance with the Company’s normal payroll schedule and shall continue Executive’s family health care benefits for such nine-month period as well.

In addition, in the event that any Sale Bonus becomes payable pursuant to Section 3.2 hereof, in accordance with its terms (including Section 3.2(e) and Section 3.2(f)(iv)), such Sale Bonus (if any) shall be paid by the Company to the estate of the Executive.

If Following the Effective Time, if the Executive’s employment is terminated by death pursuant to Section 4.3reason of his death, the Executive shall receive his full Base Salary and accrued but unused vacation through the Effective Date of Termination, at the rate then in effect, t which point in time the Executive’s benefits shall be determined in accordance with the Company’s survivor’s benefits, insurance, and other applicable plans and programs of the Company then in effect, and the Company shall pay to the estate of the Executive the compensation which would otherwise be payable have no further obligations to the Executive under Section 3.1 of this Agreement through the last day of her actual employment by the CompanyAgreement.
