Common use of TERMINATION FOR CAUSE BY CONTRACTOR Clause in Contracts

TERMINATION FOR CAUSE BY CONTRACTOR. CONTRACTOR may, without prejudice to any other right or remedy, deem this Contract “terminated for cause” if any DCAMM Event of Default is not cured in accordance with Section 50: Default. CONTRACTOR shall provide DCAMM notice of termination for cause at least ninety (90) days prior to the effective date of the proposed termination. Upon termination pursuant to this Section, CONTRACTOR shall only be entitled to payment for Services performed prior to the effective date of the termination. The amount of such termination payment shall be calculated as the value of the Services performed by CONTRACTOR prior to the termination date shall be determined by review of the latest periodic estimate required under Section 22.5 (and any agreed upon adjustments thereto), less any reasonable damages and costs incurred by DCAMM related to a CONTRACTOR Event of Default.
