Termination / Expiry. A-41 The Agreement shall be in force for the duration of the Term of Agreement unless terminated earlier pursuant to this Agreement. A-42 The Home Customer is required to provide the Company 30 (thirty) calendar days prior written notice period to terminate the Agreement before the End Date. Early Termination Charges shall apply.
Termination / Expiry. 1. This Agreement shall stand terminated forthwith, as provided in Clause VIII above, or on the Client failing to cure the breach within the time period as provided in the Notice given thereunder.
Termination / Expiry. 8.1 The Agreement may be terminated by one of the Parties should another Party breach one or more of the obligations set forth herein. Such termination shall take effect two (2) months after the plaintiff Party sends a registered letter with acknowledgment of receipt setting-out the reasons for the complaint unless, within said timeframe, the defaulting Party were to have complied with its obligations or has provided proof that it is unable to do so owing to an event of force majeure. The exercising of this right of termination does not discharge the defaulting Party from complying with the obligations which it has committed itself to until the effective termination date, without prejudice to payment of the damages owed by the defaulting Party to compensate for the loss which may have been suffered by the plaintiff Party owing to the early termination of the Agreement.

In the event that the Company ceases all activity, is dissolved, or is subject to amicable or judicial liquidation proceedings, this Agreement will be automatically terminated. In the event that the Company is the subject of judicial redress proceedings, Normandy University via Normandie Valorisation, acting on behalf of the Establishments, may terminate this Agreement subject to notifying the Company by registered letter with acknowledgement of receipt. If no response is given within [**] of said notification, this Agreement will be automatically terminated. Certain confidential information contained in this document, marked by [**], has been omitted because SOPHiA GENETICS SA (SOPHiA) has determined that the information (i) is not material and (ii) is the type that SOPHiA customarily and actually treats as private or confidential.
Termination / Expiry. On termination or expiry of this Contract (or at any other time on request by the Authority), the Supplier shall return or permanently erase, at the election of the Authority, all copies of Personal Data received and/or processed by it under this Contract unless European Union or Member State law requires retention of the Personal Data. Without prejudice to the generality of the foregoing:- Where the Authority has requested that the Supplier return Personal Data, such Personal Data shall be returned from the Supplier to the Authority in a commonly used electronic format; Where the Authority has requested that the Supplier securely deletes the Personal Data the Supplier shall ensure that the Personal Data is permanently deleted from any of the Supplier’s systems or devices which were used to store the Personal Data and from those of any third parties to whom the Supplier has disclosed and/or permitted access to the Personal Data save in the case of Personal Data to the extent that European Union or Member State law requires storage or retention of the Personal Data; Where the Supplier is required for legal or regulatory compliance to retain a copy of any Personal Data, the Supplier shall provide the Authority in writing with full details or any Personal Data they are proposing to retain and the details of the legal and regulatory obligations governing this action; Without prejudice to the obligations in Clause 13.29.3 above, in circumstances where European Union or Irish law requires the Supplier to retain any Personal Data which the Authority has shared with the Supplier, the Supplier shall provide the Authority in writing with full details of any Personal Data they are legally required to retain and the details of the European Union or Irish legal obligations governing this action, and ensure that the Personal Data retained by them is anonymized or Pseudonymised by them to the Authority’s satisfaction and in a manner and to a standard which is satisfactory under European Union law (including, without limitation, the GDPR). The provisions of this clause 13 shall survive the term of this Contract until the Supplier has returned or destroyed all Personal Data in accordance with clause 13.28.

Termination / Expiry. 13.1 The AGREEMENT may be terminated by PULSALYS in case of the cessation of business, dissolution or voluntary liquidation of COBALT. The PARTIES agree that in case of the cessation of business of COBALT, the latter shall inform PULSALYS, of this by registered letter with acknowledgement of receipt. In case of COBALT is in a situation of suspending payments, COBALT undertakes to inform PULSALYS, without delay, by registered letter. In the event that COBALT is subject to safeguard, court-ordered receivership or court-ordered liquidation proceedings, COBALT agrees to inform PULSALYS, within [***] by registered letter with acknowledgement of receipt, of the delivery of the ruling for the opening of the safeguard, receivership or liquidation proceedings. The AGREEMENT may be terminated after formal notice sent by PULSALYS to the administrator or liquidator that remains for more than [***] without reply, subject to the applicable legal provisions.
