Common use of Termination by Executive Clause in Contracts

Termination by Executive. Executive may terminate this Agreement and his or her employment hereunder, other than on account of Constructive Termination, upon 30 days prior written notice to the Company or such shorter period as may be agreed upon by the Chief Executive Officer and Executive. Executive shall make reasonable best efforts to give sufficient notice and otherwise assist in an orderly transition to the Company or such shorter period as may be agreed upon by the Chief Executive Officer and Executivea new chief executive officer. In such event, no additional payments or benefits shall be due hereunder, except as may be provided under a separate Company’s benefit plan, policy or program evidencing a retirement or other benefit plan or if any, shall cease as may be required by law to be providedof the termination date.

Termination by Executive. i. Executive may terminate this Agreement and his before the end of its initial term or her employment hereunder, other than on account of Constructive Termination, any renewal term upon 30 days thirty (30) days’ prior written notice notice, in which case Company’s only obligation to the Company or such shorter period as may be agreed upon by the Chief Executive Officer and Executive.
