Common use of Termination by Consultant Clause in Contracts

Termination by Consultant. Consultant may terminate this Agreement at his convenience upon ten (10) days prior written notice to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of termination

In proposed termination date; or (ii) immediately by serving written notice to Company in the event the Consultant terminates this Agreement of any breach of Company’s obligations pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms Agreement. Termination by Consultant. Notwithstanding any other provision of this Agreement, Consultant may terminate this Agreement at his convenience upon ten (10) days prior Consultant's engagement following a Change in Control, by written notice to the Company. In the event the Consultant terminates this Agreement pursuant is terminated under this Section, Consultant shall promptly be paid the portion of the Fee owed based on services performed prior to this Section 6.3, the Company effective date of termination and shall be entitled reimbursed for reimbursable expenses incurred prior to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of termination.

Termination by Consultant. The Consultant may terminate this Agreement at his convenience upon ten (10) days prior by giving not less than 90 calendar days’ written notice to of termination. At the Company. In the event time the Consultant terminates this Agreement pursuant to this Section 6.3provides the Company with notice of termination, or at any time thereafter, the Company shall have the right to elect to terminate the Consultant’s services at any time prior to the effective date of the Consultant’s termination. Upon the effective date of the termination, the Company shall not be entitled obligated to cease make any further payments under payment or provide any further benefit to the terms of this Consulting Agreement Consultant, except for amounts which were payable up to and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of including the date of termination.

Termination by Consultant. In the event the Consultant terminates , continue to perform its duties as specified under this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of terminationAgreement).

Termination by Consultant. Consultant may terminate this Agreement at his convenience upon ten any time after all payments accrued hereunder to the effective date of termination have been paid, by giving sixty (1060) days prior written notice to the Company. In the event the Consultant terminates Company of Consultant's intentions to terminate this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of terminationAgreement.

Termination by Consultant. Consultant may terminate this Agreement at his convenience upon ten (10) for any reason whatsoever by giving 10 calendar days prior written notice of termination to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of termination.

Termination by Consultant. Consultant may terminate this Agreement at his convenience upon ten by providing Company with a 30 (10thirty) days prior written notice to the Companynotice. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments activity provided by it under this Agreement upon delivery of said written notice. In the terms of this Consulting Agreement and shall reimburse Consultant event that the Consultant, at its sole discretion, decides not to proceed with the New Application preparation and/or submission for any business expenses that were incurred but not reimbursed as reason whatsoever, Company shall be entitled to a refund of the date of terminationconsideration actually paid to Consultant except for expenses.

Termination by Consultant. If Consultant elects to terminate this Agreement, Consultant shall give not less than fourteen (14) days’ prior written notice of such termination. Unless the parties otherwise agree such termination shall be effective at such time as is provided in such notice and Consultant shall be entitled to compensation as specified in paragraph 4 herein, through the date of termination specified in such notice. The Consultant may in its discretion and at its option terminate this Agreement at his convenience any time after the Minimum Period upon ten five (105) days prior written notice to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of termination.

Termination by Consultant. Consultant may terminate this Agreement at his convenience for ------------------------- any reason upon ten sixty (1060) days prior written days' notice of termination to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of termination.

Termination by Consultant. Except during the initial ninety (90) day period of this Agreement, Consultant may terminate this Agreement at his convenience upon ten Agreement, effective not earlier than fifteen (1015) days prior written notice to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, after the Company receives Consultant's notice of such termination. On such termination by Consultant, Consultant shall be entitled only to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of Consultant's fee hereunder to the date of such termination, and shall not be entitled to any other compensation, including, without limitation, any severance compensation.

Termination by Consultant. The Consultant may terminate this Agreement at his convenience upon any time if Company fails to timely pay any amounts due to Consultant under this Agreement and such delinquent payments are not made in full within ten (10) calendar days prior of the Company’s CEO or CFO receiving written notice via email of such failure to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of terminationpay.

Termination by Consultant. Consultant may terminate this Agreement at his convenience upon ten (10) days prior written notice to the Company. In the event the Consultant If consultant terminates this Agreement pursuant to this in accordance with Section 6.36.1 or Section 6.2, the Company shall be entitled pay to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as Consultant, within thirty (30) calendar days of the date of termination, Consultant’s fee through the date of termination.

Termination by Consultant. Consultant may terminate this Agreement at his convenience any time for any reason upon ten not less than thirty (1030) days days’ prior written notice to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of terminationConsultant.

Termination by Consultant. At any time Consultant may elect to terminate this Agreement by giving at his convenience upon ten (10) days least 120 days' prior written notice to the Company. In the Manager, in which event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of terminate on the date of terminationfor termination specified in such notice.

Termination by Consultant. Consultant may terminate this Agreement at his convenience upon ten any time, with termination effective fifteen (1015) days prior after Consultant's delivery to Company of written notice to the Companyof termination. Termination by Consultant. 9.1 The Consultant may terminate this Agreement at his convenience upon ten (10) days and its engagement with the Corporation by providing 30 days' prior written notice to the CompanyCorporation. In the event the Consultant terminates this Agreement Upon termination of its engagement pursuant to this Section 6.3Article 9.1, the Company Consultant shall not be entitled to cease receive any further payments under notice or pay in lieu of notice, or any other form of severance or termination pay pursuant to this or any other agreement between the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of terminationParties.

Termination by Consultant. Consultant may terminate Consultant’s engagement under this Agreement at his convenience upon ten (10) days prior written notice to the Company. In the event the for any reason provided that Consultant terminates this Agreement pursuant to this Section 6.3, gives the Company shall be entitled at least thirty (30) days’ notice in writing. The Company may, at its option, accelerate such termination date to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date at least two weeks after Consultant’s notice of termination. The Company may, at its option, relieve Consultant of all duties and authority after notice of termination has been provided. All compensation, payments will cease on the termination date.

Termination by Consultant. Consultant may terminate this Agreement at his convenience any time upon ten (10) days 10 days’ prior written notice to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of termination.

Termination by Consultant. Consultant may shall have the right to terminate this Agreement at his convenience under the following circumstances: (i) for any reason upon ten sixty (1060) days prior written notice to the Company. In the event the Consultant terminates this Agreement pursuant Company prior to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of terminationexpiration of the then current term; and (ii) at any time if Company fails to perform any material term of this Agreement and such non-performance is not cured within thirty (30) days written notice by Consultant of such failure of performance by Company.

Termination by Consultant. Consultant may terminate Consultant's relationship under this Agreement at his convenience upon ten (10) days prior written notice to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses reason provided that were incurred but not reimbursed as Consultant gives Company at least thirty (30) days' notice in writing. Company may, at its option, accelerate such termination date to any date at least two weeks after Consultant's notice of termination of the date Agreement. Company may also, at its option, relieve Consultant of terminationall duties after notice of termination has been provided. All compensation will cease on the termination date.

Termination by Consultant. The Consultant may terminate this Agreement at his convenience upon ten thirty (1030) days days' prior written notice to the Company. In Upon termination by the event the Consultant terminates this Agreement pursuant to this Section 6.3Consultant, the Company shall be entitled pay to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed Consultant, as soon as practicable after such termination, all compensation of the date Consultant accrued but unpaid in respect of terminationperiods ending on or prior to such termination and the Company shall have no further obligations to pay the Consultant any other fees or provide any other cash or non-cash compensation pursuant to this Agreement.

Termination by Consultant. Consultant may terminate his services under this Agreement at his convenience upon ten (10) days prior any time by giving the Company written notice of such termination at least two weeks prior to the Company. In the event the Consultant terminates this Agreement pursuant to this Section 6.3, the Company shall be entitled to cease any further payments under the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the effective date of such termination.

Termination by Consultant. 9.1 The Consultant may terminate this Agreement at and his convenience upon ten (10) days engagement with the Corporation by providing 30 days' prior written notice to the CompanyCorporation. In the event the Consultant terminates this Agreement Upon termination of his engagement pursuant to this Section 6.3Article 9.1, the Company Consultant shall not be entitled to cease receive any further payments under notice or pay in lieu of notice, or any other form of severance or termination pay pursuant to this or any other agreement between the terms of this Consulting Agreement and shall reimburse Consultant for any business expenses that were incurred but not reimbursed as of the date of terminationParties.
