Termination by Claremont. If MAX defaults in any of its obligations, Claremont may give MAX written notice and specify the default or defaults. If within thirty (30) days MAX has not cured such default or, with respect to defaults not capable of being cured in thirty (30) days, begun and diligently pursued efforts to cure such default, Claremont may terminate this Agreement by written notice to MAX. If MAX disputes that any default has occurred, the matter shall be determined by litigation in a court of competent jurisdiction, and if the court finds MAX is in default, MAX shall have a reasonable time (which in any case shall not be less than sixty (60) days from receipt of notice of the judgment or order) to cure such default, and if so cured, Claremont shall have no right to terminate this Agreement by reason of such default.
Termination by Claremont. This Agreement may be terminated by Claremont, and the Merger abandoned at any time prior to the Effective Time, before or after the approval of this Agreement by the shareholders and/or directors of the Constituent Corporations, if: (a) any of the representations or warranties made by OpTex in this Agreement shall not be correct or accurate at and as of the time the Closing is scheduled to take place hereunder with the same effect as if made at such time; or (b) OpTex shall have failed to comply with or perform any of the covenants, conditions or agreements contained in this Agreement to be complied with or performed by OpTex at or prior to the Closing.

  • Termination by City Notwithstanding any other term, provision or conditions of this Agreement, subject only to prior written notification to Licensee or its successor-in- interest, this Agreement is revocable by the City if:

  • Termination by ICANN (a) ICANN may, upon notice to Registry Operator, terminate this Agreement if: (i) Registry Operator fails to cure (A) any fundamental and material breach of Registry Operator’s representations and warranties set forth in Article 1 or covenants set forth in Article 2, or (B) any breach of Registry Operator’s payment obligations set forth in Article 6 of this Agreement, each within thirty (30) calendar days after ICANN gives Registry Operator notice of such breach, which notice will include with specificity the details of the alleged breach, (ii) an arbitrator or court of competent jurisdiction has finally determined that Registry Operator is in fundamental and material breach of such covenant(s) or in breach of its payment obligations, and (iii) Registry Operator fails to comply with such determination and cure such breach within ten (10) calendar days or such other time period as may be determined by the arbitrator or court of competent jurisdiction.

  • TERMINATION BY MPS MPS further reserves the right to terminate this Contract at any time for any reason by giving Contractor written notice by Registered or Certified Mail of such termination. MPS will attempt to give Contractor 20 days’ notice, but reserves the right to give immediate notice.
