Termination; Additional Remedies. Upon the occurrence of a Rapid Amortization Event due to an act or omission of the Seller (an "Event of Termination"), the Purchaser and its assignees shall have, in addition to all other rights and remedies under this Agreement or otherwise, all other rights and remedies provided under the UCC of each applicable jurisdiction and other applicable laws, which rights shall be cumulative. Without limiting the foregoing, the occurrence of an Event of Termination shall not deny to the Purchaser or its assignees any remedy in addition to termination of its obligations to make purchases hereunder to which the Purchaser or its assignee may be otherwise appropriately entitled, whether by statute or applicable law, at law or in equity.
