Terminal Services Fees. (a) In consideration for Terminal Services up to the Maximum SQ, RCR shall invoice RDC monthly as described in Section 3.3(c) below for (i) [*] for that month plus (ii) a $[*] per month fixed fee, provided that, at the end of each Storage Year in the event RDC has not used the Minimum SQ for such Storage Year, RDC shall pay RCR for the difference between (x) [*] assuming RDC had used Terminal Services with respect to the full Minimum SQ less (y) [*] actually paid by RDC under Section 3.3(a) (such calculation is referred to herein as the “Reconciliation”). Terminal Services Fees. (a) In consideration for Terminal Services up to the Maximum SQ, RCR shall invoice RDC monthly as described in Section 3.3(c) below for (i) RDC’s Pro Rata Share of the direct on-site, full operating costs (whether fixed and/or variable) for that month plus (ii) a $25,000 per month fixed fee, provided that, at the end of each Storage Year in the event RDC has not used the Minimum SQ for such Storage Year, RDC shall pay RCR for the difference between (x) the Pro Rata Share of the costs for Terminal Services assuming RDC had used Terminal Services with respect to the full Minimum SQ less (y) the Pro Rata Share of the costs of Terminal Services actually paid by RDC under Section 3.3(a) (such calculation is referred to herein as the “Reconciliation”).   • Transitional Services Seller shall provide to Buyer, with respect to each Specified Business, upon written request from Buyer received by Seller no later than 30 days prior to the Closing Date, such services as may be reasonably requested by Buyer in connection with the operation of such Specified Business for a commercially reasonable transition period following the Closing to allow for conversion of existing or replacement services, in each case to the extent and only to the extent Seller or its Affiliates retains the Assets and employees necessary to allow the provision of such services (“Transitional Services”). In addition, between the date hereof and the Closing, Seller shall use commercially reasonable efforts to cooperate with Buyer to assist Buyer in developing and implementing a plan of transition. Buyer shall promptly reimburse Seller for the reasonable out-of-pocket costs and any incremental costs and expenses necessary to provide Transitional Services. All other terms and conditions for the provision of Transitional Services shall be reasonably satisfactory to both Buyer and Seller and subject to applicable Law.

  • Service Fees In consideration of the performance of the Services by Custodian, each Fund shall pay Custodian in accordance with the fee arrangements set forth on Schedule I to this Loan Servicing Agreement (the “Service Fees”). Except for such sums as are payable upon the execution hereof, if any, Custodian shall send an invoice for the Service Fees to the applicable Fund within thirty (30) days after the end of each calendar quarter during the term hereof and such invoice shall be payable upon receipt.

  • Transitional Services Agreement Seller shall have executed and delivered the Transitional Services Agreement.

  • Services Provided ON AN ONGOING BASIS, IF APPLICABLE.

  • Administrative Support Services Fees Within forty-five (45) days of the end of each calendar quarter or at such other period as deemed appropriate by the Distributor, the Fund will make payments in the aggregate amount of up to 0.25% on an annual basis of the average during the period of the aggregate net asset value of the Shares computed as of the close of each business day (the “Service Fee”). Such Service Fee payments received from the Fund will compensate the Distributor for providing administrative support services with respect to Accounts. The administrative support services in connection with Accounts may include, but shall not be limited to, the administrative support services that a Recipient may render as described in Section 3(b)(i) below.

  • Support Services Other than the assistance provided in the Information, the BNPP Entities do not offer any support services in connection with the Software.
