Common use of Term; Expiration Clause in Contracts

Term; Expiration. This Agreement shall become effective on the initial Effective Date and the obligations of the parties hereunder shall not commence until the initial Effective Date; provided, however, that the obligations of the parties under Sections 3(e), 3(f), 7, 8, 9 and 11 and this Section 10 shall commence on, 2012 and Sections 3(e), 3(f), 7, 8, 9 and 11 and this Section 10 shall be effective as of, 2012. Unless sooner terminated pursuant to this Section 10(a), this Agreement shall expire at the end of the Offering Period; provided, however, that if the Offering Period does not commence by, 2012, then this Agreement shall expire automatically at 11:59 p.m. Eastern time, on, 2012 without further action by the parties. This Agreement may be earlier terminated (i) by the Company pursuant to Section 10(b) and (ii) by the Dealer Manager pursuant to Section 10(c). The date upon which this Agreement shall have so expired or been terminated earlier shall be referred to as the “Termination Date”.
