Tenant Not Released. No assignment or sublease whatsoever shall release Tenant from Tenant’s obligations and liabilities under this Lease or alter the primary liability of Tenant to pay all rent and to perform all obligations to be paid and performed by Xxxxxx. No assignment or sublease shall amend or modify this Lease in any respect, and every assignment and sublease shall be subject and subordinate to this Lease. The acceptance of rent by Landlord from any other person or entity shall not be deemed to be a waiver by Landlord of any provision of this Lease. Consent to one assignment or sublease shall not be deemed consent to any subsequent assignment or sublease. Tenant shall pay to Landlord all direct costs and shall reimburse Landlord for all expenses incurred by Landlord in connection with any assignment or sublease BE 543 154 EUL Final 120511 SAA2 – 402658 requested by Xxxxxx not to exceed two thousand dollars ($2,000) per event of assignment or subletting. If any assignee, subtenant or successor of Tenant defaults in the performance of any obligation to be performed by Tenant under this Lease. Xxxxxxxx may consent to subsequent assignments or subleases or amendments or modifications to this Lease with assignees, subtenants or successors of Xxxxxx, without notifying Tenant or any successor of Xxxxxx and without obtaining any consent thereto from Tenant or any successor of Xxxxxx, and such action shall not release Tenant from liability under this Lease.
Tenant Not Released. No assignment or transfer of Tenant’s interest hereunder nor a sublease of the Leased Premises or any part thereof will release Tenant from its obligations under this Lease and Landlord may look to Tenant for continued performance.
Tenant Not Released. In the event of any subletting of all or any portion of the Premises or assignment of this Lease by Tenant, Tenant shall remain jointly and severally liable to Landlord for payment of all Rent stipulated herein and for payment and performance of all other covenants and conditions contained herein. Rent due from Tenant shall not be diminished or abated during any remodeling or redecoration period. Landlord may collect Rent from any sublessee or assignee and apply the net amounts collected to the Base Rent, Tenant's Proportionate Share of Operating and Tax Expenses, and Additional Rent but no such collection shall be deemed to be a waiver of the provisions of this Section. Further, notwithstanding anything contained herein to the contrary, any and all unexercised options to extend or renew the Term of this Lease or to expand the Premises and any and all rights of first offer and similar rights are intended by both Landlord and Tenant to be personal to xxx.xxx, incorporated and are not intended to, and shall not benefit any assignee or sublessee hereunder. Upon any assignment or subletting of the Premises or any portion thereof any such options or rights shall automatically and without any further action by Landlord terminate and be of no further force and effect.

Any Transfer that conflicts with the provisions hereof shall be void. No consent by Landlord to any Transfer shall constitute a consent to any other Transfer nor shall it constitute a waiver of any of the provisions of this Article 8 as they apply to any such future Transfers. Following any Transfer, the obligations for which the Tenant or subsequent transferor remains liable under this Lease shall include, without limitation, any obligations arising in connection with any amendments to this Lease executed by Landlord and the Transferee, whether or not such amendments are made with knowledge or consent of the transferor.

Tenant shall indemnify and hold Landlord harmless from any and all claims, damages, liability and expenses, including reasonable attorneys' fees and costs arising out of any claims by brokers or others for commissions or finder's fees with respect to any subletting or assignment by Tenant. The acceptance of Rent by Landlord from any other person shall not be deemed to be a waiver by Landlord of any provision of this Lease or to be a consent to any assignment or subletting. Tenant immediately and irrevocably assigns to Landlord, as security for Tenant's obligations under this Lease, all Rent from any subletting, and Landlord, as assignee for Tenant or receiver for Tenant appointed on Landlord's application may collect such Rent and apply it toward Tenant's obligations under this Lease, except that, until the occurrence of any act of default by Tenant, Tenant shall have the right to collect such Rent.

Tenant Not Released. No Transfer by Tenant (including a Transfer to a Permitted Transferee) shall relieve Tenant of any obligation under this Lease and Tenant shall remain primarily liable hereunder. If the transferee defaults, Landlord may, without affecting any other rights of Landlord, proceed against Tenant or any transferee or any other person liable for Tenant’s obligations hereunder. Any Transfer that conflicts with the provisions hereof shall be void. No consent by Landlord to any Transfer shall constitute a consent to any other Transfer nor shall it constitute a waiver of any of the provisions of this Article 17 as they apply to any future Transfers. Following any Transfer, the obligations for which the Tenant or subsequent transferor remains liable under this Lease shall include, without limitation, any obligations arising in connection with any amendments to this Lease executed by Landlord and the transferee, whether or not such amendments are made with knowledge or consent of the transferor; provided, however, that Landlord shall not extend the term of the Lease (except in connection with the Extension Option granted herein) without Tenant’s consent.
