Tell-tale Clause Samples
A tell-tale clause is designed to require notification or disclosure when certain specified events or conditions occur within a contractual relationship. In practice, this clause obligates one party to promptly inform the other if, for example, a breach, default, or material change in circumstances arises that could affect the agreement. By mandating timely communication of critical developments, the tell-tale clause helps ensure transparency and allows parties to respond appropriately, thereby reducing the risk of undisclosed issues escalating into larger problems.
