Tax Certifications. Purchaser shall have received a certification of non-foreign status from Seller and any Subsidiary of Seller that is selling Assets pursuant to this Agreement in the form and manner which complies with the requirements of Section 1445 of the Code and the regulations promulgated thereunder.

Tax Certifications. Purchaser shall have received (i) a certification of non-foreign status from for Seller and any Subsidiary of Seller that is selling Assets pursuant to this Agreement in the form and manner which complies with the requirements of Section 1445 of the Code and the regulations promulgated thereunderthereunder and (ii) any other certifications which may be required under Applicable Law stating that no Taxes (or a reduced amount) are due to any Taxing Authority for which Purchaser could have liability to withhold and pay with respect to the transfer or in connection with the purchase of the Assets.
