Tax Basis. The Corporation and the Holder hereby agree that the tax basis of this Warrant for purposes of the Internal Revenue Code of 1986, as amended, shall be $1,000, and the treatment of this Warrant under such Code by each of the Corporation and the Holder shall be consistent with such agreement.
