Taux Effectif Global. 8.5 For the purpose of Article L313.1 et seq. of the French Code de la Consommation, the parties acknowledge that, due to certain characteristics of the Facility and, in particular, to the floating interest rate applicable to the Advances, the actual all-in percentage rate (taux effectif global) for the duration of the Facility cannot be calculated as at the date of this Agreement. Notwithstanding the above, the Bank has delivered to the Borrower on the date of this Agreement and on the date of the Amendment Agreements a letter containing indicative calculations of the actual all-in percentage rate, the form of the latter such letter being set out in Schedule 7 .
Taux Effectif Global. In order to comply with the provisions of Articles L313-1 and L313-2 of the French Consumer Code (Code de la Consommation), the effective global rate (taux effectif global) calculated in accordance with the Articles referred to above shall be as set out in a letter from the Agent to a French Borrower in the form of the letter at Schedule 11 (Form of TEG letter) on the date of the accession of a French Borrower to this Agreement.
Taux Effectif Global. For the purposes of articles L.314-1 to L. 314-5 and R.314-1 et seq. of the French Code de la consommation and article L.313-4 of the French Code monétaire et financier, the Parties acknowledge that (i) the effective global rate (taux effectif global) calculated on the Signing Date (or, in the case of Holdco, on the date of its accession), based on assumptions as to the period rate (taux de période) and the period term (durée de période) and on the assumption that the interest rate and all other fees, costs or expenses payable under this Agreement will be maintained at their original level throughout the term of this Agreement, is set out in a letter from the Facility Agent to the Borrowers and (ii) that letter forms part of this Agreement. Each Borrower acknowledges receipt of that letter (either on the date of this Agreement or, if later, on the date on which it became a Borrower).
Taux Effectif Global. For the purpose of articles L.313-4 and L. 313-5 of the French Monetary and Financial Code (Code Monétaire et Financier) and articles L. 313-1 to L. 313-6 of the French Consummation Code (Code de la Consommation), the applicable effective global rate (taux effectif global) amounts to 4.1350 % per annum.
Taux Effectif Global. In respect of a Borrowing Group Member which is incorporated in France, for the purpose of Articles L.313-1, L.313-2, R 313-1 and R 313-2 of the Consumer Code (Code de la Consommation), each Party acknowledges that:

In order to comply with the provisions of Articles L313-1 and L313-2 of the French Consumer Code (Code de la Consommation), the effective global rate ("taux effectif global") calculated in accordance with the articles referred to above is as set out in a letter dated the date of this Agreement (or, in relation to a Subsidiary Borrower or a Subsidiary Guarantor incorporated in France, dated on or about the date of the relevant Borrower Accession Deed or Guarantor Accession Deed as appropriate) from the Facility Agent to the Obligors' Agent substantially in the form set out in Schedule 5.
Taux Effectif Global. In order to comply with the provisions of Articles L313-1 and L313-2 of the French consumer code ("CODE DE LA CONSOMMATION"), the effective global rate ("TAUX EFFECTIF GLOBAL") calculated in accordance with the articles referred to above is as set out in a letter dated the date of this Agreement from the Agent to Aon France S.A. in the form of Schedule 7 (FORM OF TEG LETTER).
Taux Effectif Global. (a) In order to fulfil the obligations imposed by Articles L 313-1 to L 313-6 of the French Consumer Code (Code de la Consommation), the Bank represents to Mattel France S.A., who accepts such representation, that the effective global rate (taux effectif global) calculated in accordance with the Clauses referred to above, on the basis of a 365 days year, is 4.0343 per cent. per annum.

For the purposes of the application of Articles L313-1 ET SEQ, R313-1 and R313-2 of the French CODE DE LA CONSOMMATION, the Parties accept and agree that by virtue of certain characteristics of the Loan (and in particular the variable interest rate applicable to the Advances), the TAUX EFFECTIF GLOBAL cannot be calculated at the date of signature of this Agreement.
