Synthetic GIC Wrap Modifications. Notwithstanding any other provision of this Agreement or any other Transaction Agreement, including Section 5.34 of the Master Transaction Agreement, the Administrator shall act reasonably and reasonably consult with the Ceding Company in determining whether to consent to requests by owners, policyholders or beneficiaries under any Synthetic GIC Wraps to modify the investment policy for the investment assets subject to such Synthetic GIC Wraps, provided that the Ceding Company shall act reasonably, in good faith and on a timely basis in connection with such consultation and the Administrator shall have the final decision in any such matters.
