Surviving Bank. Bank shall continue to exist under the laws of the United States as a wholly owned subsidiary of NBC. At the Effective Time, the separate existence and organization of Thrift shall cease. Bank will continue to operate as a national banking association titled National Bank of Commerce with its principal office located at ▇▇▇ ▇▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇, and at the legally established branches of Bank and Thrift.
