Survival of Indemnification and Advancement of Expenses. The indemnification and advancement of expenses provided by, or granted pursuant to, this Article VIII shall, unless otherwise provided when authorized or ratified, continue as to a person who has ceased to be a director or officer and shall inure to the benefit of the heirs, executors and administrators of such a person.

Any repeal or modification of this Article VII by the shareholders of the corporation shall not adversely affect any rights to indemnification and advancement of expenses existing pursuant to this Article VII with respect to any acts or omissions occurring prior to such repeal or modification.

No amendment or repeal of the provisions of this Article VIII which adversely affects the rights of any Covered Person under this Article VIII with respect to the acts or omissions of such Covered Person at any time prior to such amendment or repeal shall apply to such Covered Person without the written consent of the Covered Person.

Any amendment, modification or repeal of this Article X or any provision hereof shall be prospective only and shall not in any way affect the limitations on liability of the Covered Persons, or terminate, reduce or impair the right of any past, present or future Covered Person, under and in accordance with the provisions of this Article X as in effect immediately prior to such amendment, modification or repeal with respect to claims arising from or relating to matters occurring, in whole or in part, prior to such amendment, modification or repeal, regardless of when such claims may arise or be asserted.
Survival of Indemnification and Advancement of Expenses. The indemnification and advancement of expenses provided by, or granted pursuant to, this Section 5.7 shall continue as to a Person who has ceased to be a Director, officer, employee or representative of the Company or Member and shall inure to the benefit of the heirs, executors and administrators of such Person. The provisions of this Section 5.7 shall survive any termination of this Agreement.

No amendment to this Article VI will impair the rights of any Person arising at any time with respect to events occurring prior to such amendment.
Survival of Indemnification and Advancement of Expenses. The indemnification and advancement of expenses provided by, or granted pursuant to, this Section 13 shall, unless otherwise provided when authorized or ratified, continue as to a person who has ceased to be a manager or officer and shall inure to the benefit of the heirs, executors and administrators of such a person. For the avoidance of doubt, all rights, existing as of April 20, 2017, to indemnification, advancement of expenses and exculpation from liabilities for acts or omissions occurring at or prior to the Virtu Merger in favor of the current or former directors, officers or employees of KCG Holdings, Inc. or any of its subsidiaries as provided in their respective certificates of incorporation or by-laws (or comparable organizational documents) continue in full force and effect in accordance with their terms.
