Survival and Continuation. All representations, warranties, covenants, indemnifications, consents and agreements contained in this Agreement and/or any of the Collateral Documents shall survive the execution of this Agreement, the Collateral Documents and any investigations by Crestmark and shall be, and continue at all times while any Indebtedness is outstanding, to be true and accurate. Borrower shall immediately notify Crestmark, in writing, if any of the foregoing are or have become untrue.
Survival and Continuation. Notwithstanding the termination of this Agreement, all terms, provisions and obligations of either party contained herein which, in order to give them effect and to accomplish their intent or purpose, need to survive such termination shall, by agreement between Owner and Manager, survive and continue until they have been fully satisfied or performed.

Borrower shall immediately notify Bank, in writing, if any of the foregoing are or, as to continuing representations and warranties, have become untrue.
Survival and Continuation. Notwithstanding the termination or the expiration of this Agreement, the obligations of Owner to pay fees and make other payments to Hyatt (or Affiliates of Hyatt) hereunder and the other Hyatt Agreements (whether or not that provision or any other provision includes, or does not include, any express wording stating that such provision shall survive termination or expiration), and any other applicable provisions of this Agreement and such other Hyatt Agreements, shall survive such termination or expiration to the extent necessary to give effect to the intent of the Parties.

All representations and warranties contained in this Agreement, or in any of the Collateral Documents, now or hereafter existing, are and shall continue to be true and accurate, at all times while any Money Advances are outstanding, and the continuing truth and accuracy thereof shall be conditions precedent to the making of any Money Advances hereunder and shall survive the execution hereof and the consummation of the transactions herein contemplated.
Survival and Continuation. Notwithstanding the termination of the Term or Select’s management of the Hotel in accordance with this Agreement, all terms, provisions and obligations of either party contained herein which, by the terms of this Agreement, survive the expiration or termination hereof, or which, in order to give them effect and accomplish their intent and purpose, need to survive such termination (including, without limitation, the provisions of Article XVI hereof), shall survive and continue until they have been fully satisfied or performed.
