Support and Maintenance Fees. The delivery of Support and Maintenance Services is subject to Your having fully paid up the Support and Maintenance Fees in accordance with the terms and conditions specified in the invoice provided by ISB. You may not withhold or suspend payment of fees due and payable under the License Agreement or Addendum 1 on the basis of ISB’s performance or completion of the Support and Maintenance Services. Support and Maintenance Fees. Licensee shall pay to the Cireson Reseller a fee equal to Twenty Percent (20%) of the total License Fees (“Support and Maintenance Fee”) in exchange for one (1) year of Support and Maintenance as described in the Support and Maintenance Policy, found online at xxxx://xxxxxxx.xxx/cireson-support-and-maintenance-policy/. No provision of the Support and Maintenance Policy may conflict with this SLMA. All Support and Maintenance Fees shall be earned when paid and shall be non-refundable. No pro-rata refunds will be issued for cancellation of Support and Maintenance.
Support and Maintenance Fees. Licensee shall pay to Licensor annual support and maintenance fees (“Support Fees”) As set forth in the Order Form. Licensor may increase the maintenance fees on an annual basis by up to five percent (5%). Following the first 12 month support period, Support Fees are payable, annually and in advance for the succeeding 12 month period. Licensor may, where appropriate, prorate Support Fees so that Support for all Software licenses are renewable on the same date, even if all the Software were not ordered at the same time.

Allstate agrees to implement such upgrades and releases in Allstate's Solution Center within thirty (30) days of receiving such upgrades and releases. Notwithstanding anything in the Agreement, as amended, to the contrary, Allstate shall have the right, at its sole discretion, to terminate this support and maintenance upon fifteen (15) days prior written notice to TenFold. In the event of such termination, Allstate shall have the right to a pro rata refund of the Support Fee. In the event that Allstate terminates the support and maintenance services contemplated by this Section V or the Universal Application support set forth in Section IV of Amendment No. 6 to the Master Software License and Services Agreement, then Allstate agrees to immediately pay TenFold, by wire transfer, a support termination penalty of ***.
Support and Maintenance Fees. For each ViryaNet Product with respect to which Licensee has ordered Software Support and Maintenance during the first Support Year, Licensee shall pay ViryaNet the applicable Software Support and Maintenance Fees as provided for in Exhibit A, and in accordance with the payment terms provided therein. The Software Support and Maintenance Fees and payment terms for additional Support Years shall be determined thirty (30) days prior to the end of the previous Support Year provided that for a period of two (2) Support Years after the first Support Year, ViryaNet shall not be entitled to increase the annual Software Support and Maintenance Fees by more than the lesser of: (i) 10% on an annual basis or (ii) the consumer price index. ViryaNet shall invoice Licensee within thirty (30) days prior to the end of the Support Year, as applicable, and Licensee's payment shall be due within thirty (30) days of receipt of the ViryaNet invoice.
