You may not withhold or suspend payment of fees due and payable under the License Agreement or Addendum 1 on the basis of ISB’s performance or completion of the Support and Maintenance Services. Unless otherwise stated or agreed upon, the Support and Maintenance Fees for any renewal period shall be at ISB’s then-prevailing price. In case you enter into several License Agreements or Addendums 1, combining multiple license types, the Support and Maintenance Fees will be pro-rated so that the coverage periods for the several licenses covered by this Addendum 2 will coincide.

In the event of such termination, Allstate shall have the right to a pro rata refund of the Support Fee. In the event that Allstate terminates the support and maintenance services contemplated by this Section V or the Universal Application support set forth in Section IV of Amendment No. 6 to the Master Software License and Services Agreement, then Allstate agrees to immediately pay TenFold, by wire transfer, a support termination penalty of ***.
Support and Maintenance Fees. For each ViryaNet Product with respect to which Licensee has ordered Software Support and Maintenance during the first Support Year, Licensee shall pay ViryaNet the applicable Software Support and Maintenance Fees as provided for in Exhibit A, and in accordance with the payment terms provided therein.
