Support and Maintenance Fee. In consideration for the Support and Maintenance Services, Organization shall pay the “Support and Maintenance Fee” as detailed in Exhibit 1 below. The Support and Maintenance Fee will be billed annually in advance. The first billing date shall be the pro rata amount for the period beginning on the date the Software is installed (the “Start Date”) to the “Renewal Date”, which is defined as being January 1, 2020 as chosen by the Organization in the applicable order form. Thereafter, the Support and Maintenance Fee shall be paid for the period beginning on each subsequent Renewal Date and ending at 23:59 eastern time, the day preceding the Renewal Date. Xxxxxx may change the Support and Maintenance Fee from time to time in relation to each renewal term but Organization shall only be billed once per year. The Support and Maintenance Fees shall increase where a reorganization occurs or due to any additional Licenses or other growth of Organization during the term based upon Xxxxxx'x then current billing practices.
Support and Maintenance Fee. In consideration of the rights set forth herein, the Customer agrees to pay HYBRID the applicable Support and Maintenance Fee (“SMA Fee”) as set forth in the Order Confirmation, and any additional costs set forth herein. The applicable SMA Fee is subject to a yearly revision by HYBRID. HYBRID is entitled to an automatic increase of the SMA Fee of up to a maximum of 5% per annum without prior Customer’s consent and effective January 1st of each calendar year. HYBRID shall provide the Customer with ninety (90) days’ written notice in case of an increase of an SMA Fee by more than 5%. Furthermore, HYBRID reserves the right to adjust the SMA Fee applicable to any Renewal Term by notifying the Customer of the same at least ninety (90) days prior to the start of a Renewal. In case Customer does not agree to such change in pricing, Customer, as a sole remedy, has the option to cancel the corresponding Service in accordance with the Terms. HYBRID may charge the Customer for travel and accommodation expenses in case an on-site intervention is required which will only be done upon prior written agreement of the Customer. For travel time, HYBRID’s then- current hourly rate shall apply. The SMA Fee and any additional Service charges due are payable in accordance with the Order Confirmation or as otherwise agreed in writing by the parties, by wire transfer, credit card, or other payment method offered by HYBRID from time to time. If HYBRID offers invoicing as a payment method, invoices are payable within thirty (30) days from the date of the invoice unless otherwise agreed upon as identified in the Order Confirmation.
Support and Maintenance Fee. Subject to the provisions hereof, in --------------------------- partial consideration of InterTrust's provision of Support and Assistance set forth in Section 2.2 hereof, and Upgrades and New Releases, during the Support Period, NatWest shall pay to InterTrust the amount of [*] dollars (US$[*]) on an annual basis (the "Support Fee"). NatWest shall pay the Support Fee in four ----------- quarterly installments within thirty (30) days after each calendar quarter in accordance with Section 0 hereof.
Support and Maintenance Fee. Microsoft will pay Company [**] in --------------------------- consideration of receiving support and maintenance Services in accordance with Section 2.6 and Exhibit B for [**] after the Effective Date (or, if Company delivers its initial Deliverables more than three (3) days after Microsoft makes the payment due to Company under Section 4.1(a), then for a period of [**] after such initial delivery by Company hereunder). Microsoft will pay this fee [**], each payable in advance within thirty (30) days of Microsoft's receiving an invoice from Company for such fee. Company may issue the initial invoice for such fees on or after the Effective Date. At Microsoft's sole discretion, Microsoft may renew its right to receive such support and maintenance Services for an additional period of [**] upon written notice to Company at least forty- five (45) days before the expiration of such initial support term, and subject to payment by Microsoft of an additional [**] in accordance with the same payment procedures as apply to the initial term.
Support and Maintenance Fee. The fees for the first year of the Services (the “Initial Term”) will be invoiced together with the Software license fee. The Services subscription will automatically renew for additional one (1) year terms (each a “Term”) at the expiration of the then current Term unless terminated in accordance with Section 4. The fee for each renewal Term will be due and payable no later than the last day of the previous Term. Stilog may raise its fees for the Services at any time by giving Licensee at least thirty (30) days prior written notice. Any fee increases will be effective as of the next renewal Term. If Licensee terminates or otherwise allows the Services to lapse through non-payment, Licensee will be required to pay all Services fees that would have been due for the period of such lapse prior to resuming the Services.
