Supply Capacity Clause Samples

Supply Capacity. SUPPLIER commits to at all times to have sufficient capacity to manufacture and deliver Products according to VESTAS’ non-binding long-term forecast according to Appendix C (“Supply Capacity”) and that VESTAS’ orders and the fulfilment hereof at all times shall have first priority. SUPPLIER is obligated to confirm orders and deliver in accordance with orders received from VESTAS, which are in accordance with the Supply Capacity within (3) three days. In case SUPPLIER is not able to confirm orders within the agreed Supply Capacity, SUPPLIER shall pay liquidated damages as set forth in Clause 3.7. as if a formal Contract had been established.

Supply Capacity. Within thirty (30) days of receiving the long term forecast set forth in Section 2.7 hereof, Adolor shall confirm that Adolor has, or its Product Supplier(s) have, sufficient capability to meet such forecasted amounts. Furthermore, with regard to the non-binding forecast set forth in Section 2.2.3 hereof and the long-term forecast set forth in Section 2.7 hereof, Adolor shall promptly notify GSK if Adolor believes that it shall be unable to meet such forecasted amounts.

Supply Capacity. See Article List (Appendix 2). The Supplier shall declare that it has the necessary skills and capacities at its disposal so that it is capable of delivering the required quantities called off.
