Common use of Supplier’s Payment Upon Termination Clause in Contracts

Supplier’s Payment Upon Termination. On termination of the Contract, the Board shall only be responsible for the payment of the Deliverables provided under the Contract up to and including the effective date of any termination. Termination shall not relieve the Supplier of its warranties and other responsibilities relating to the Deliverables performed or money paid. In addition to its other rights of hold back or set off, the Board may hold back payment or set off against any payments owed if the Supplier fails to comply with its obligations on termination.
