Common use of Supplier Indemnity Clause in Contracts

Supplier Indemnity. Supplier shall defend, indemnify and hold harmless Silk Road Medical and its Affiliates, distributors, dealers, agents and customers from and against all liability and expenses, including reasonable attorneys’ fees, arising from or related to any claim made or any suit or proceeding brought against Silk Road Medical based on an allegation that Products infringe upon any third party’s Intellectual Property Rights.

Supplier Indemnity. Supplier shall defend, agrees to indemnify and hold harmless each of Silk Road Medical and its Affiliates, distributors, dealers, agents and customers harmless from and against all any loss, claim, damage, liability and expenses, or expense (including reasonable attorneys’ feesfees and expenses of counsel) which may be payable by reason of or on account of injury (including death resulting from such injury) to any person caused by, arising from from, incident to, connecting with or related to growing out of the possession or use by any claim made or person of any suit or proceeding brought against Product manufactured by Supplier and sold by Silk Road Medical based on an allegation that Products infringe upon any third party’s Intellectual Property RightsMedical.
