Supplier Confidential Information. Any information that the Supplier gives to BEIS or to Customers that is designated as being confidential, or which ought reasonably be considered to be confidential (whether or not it is marked “confidential”). This may include information, however it is conveyed, that relates to the Supplier’s business, affairs, developments, trade secrets, Know-How, personnel and suppliers including all IPRs. Supplier Representative The representative appointed by the Supplier in relation to this Framework Agreement. Supplier Staff All persons employed by the Supplier, together with the Supplier's agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents and suppliers) used in the performance of the Supplier’s obligations under this Framework Agreement or any Contract. Appointment Date The date set out in Section 1 Approval The prior written consent of BEIS. Audit An audit carried out under Clause 7.1 to 7.10 (Record Keeping, Confidentiality and Transparency). Audit Report A report summarising the testing completed and the actions arising following an Audit. Board Account Director A director who sits on the Supplier’s Board of Directors who will take responsibility for managing the relationship between the Supplier, Customers and BEIS. Branding Guidance The Supplier marketing toolkit which includes logos and guidance provided by BEIS to the Supplier. Project Specification The document issued by a Customer as part of the Process containing the information set out in Clause 3.10.1 of Section 3 (How Services will be bought ( Process). Contract The legally binding agreement (entered into following the provisions of this Framework Agreement) for the provision of Services made between a Customer and the Supplier which includes the Letter of Appointment, terms and conditions substantially in the form of the Terms, any Statements of Work and any other documents expressly incorporated into that document in accordance with its terms. Process The Process for awarding a Contract set out in Section 3 (How Services will be bought ( Process). Supplier Confidential Information. The Customer acknowledges that details of the Services, and the results of any performance tests of the Services, constitute the Supplier's Confidential Information.
Supplier Confidential Information. UC may receive, or have access to, Supplier’s information and materials that are confidential and proprietary or should reasonably be considered confidential based on the subject matter or circumstances of disclosure. UC shall not, and shall ensure that its agents, employees, officers and directors shall not, directly or indirectly disclose to anyone, except pursuant to an order of a court of competent jurisdiction, or use or otherwise exploit for its own benefit, or for the benefit of anyone other than Supplier, of any Confidential Information, which may include trade secrets, vendor or customer information, marketing or product development plans, business plans, projections, financial information, pricing and cost information, business strategies, the terms or existence of this Agreement, or any other competitive sensitive or proprietary information which is not generally known in the industry, whether or not in written or tangible form. Notwithstanding the foregoing, Supplier Confidential Information must be identified and disclosed pursuant to Article 20, Section C in order to be considered Supplier Confidential Information, and the parties expressly agree that all non-public product and pricing information is considered Supplier Confidential Information.
Supplier Confidential Information. The Purchasers will not disclose or permit the disclosure of any Confidential Information of the Supplier that the Supplier clearly designates as confidential at the time of disclosure, except to the extent the Purchasers are required or permitted to disclose such Confidential Information by Law, including under the provisions of FIPPA. This Section will not restrict the Purchasers from disclosing or granting access to such information to its officers, employees, directors, agents, contractors, professional advisers and consultants, to the extent necessary, to enable the Purchasers to perform (or to cause to be performed) or to enforce their rights or obligations under this Contract.
Supplier Confidential Information. Buyer shall: (a) use the same care and discretion to avoid disclosure, publication or dissemination of Supplier Confidential Information as it uses with respect to its own similar information that it does not wish to disclose, publish or disseminate; and (b) use Supplier Confidential Information solely to the extent required to fulfill its obligations or exercise its rights under this Subcontract. Buyer shall not disclose, publish, release, transfer or otherwise make available Supplier Confidential Information in any form to, or for the use or benefit of, any person or entity without Supplier’s consent. Buyer shall, however, be permitted to disclose relevant aspects of the Supplier Confidential Information to its officers, directors, agents, professional advisors, contractors, subcontractors and employees and to the officers, directors, agents, professional advisors, contractors, subcontractors and employees of the IBM Entities, to the extent that such disclosure is not restricted under this Subcontract or any Governmental Approvals and only to the extent that such disclosure is reasonably necessary for the performance of its duties and obligations, or exercise of its rights, under this Subcontract; provided, however, that Buyer shall take all reasonable measures to ensure that Supplier Confidential Information of Supplier is not disclosed, published or disseminated in contravention of the provisions of this Subcontract by such officers, directors, agents, professional advisors, contractors, subcontractors and employees. The obligations in this Section shall not restrict any disclosure pursuant to any Law (provided that the recipient shall give prompt notice to Supplier of such order).
Supplier Confidential Information. Medicis acknowledges and agrees: (a) (i) that any Supplier Technical Information that is not generally known to the public constitute the confidential information of Supplier, and (ii) any information, works in progress, trade secrets, data or other secret, sensitive or confidential material related to the business technology, products, systems, formulas, practices, processes, customers or projects of Supplier including, without limitation, the Supplier’s Patents, Material and Supplier Technical Information, and that are (A) disclosed to or become known by Medicis during the Term of this Agreement, (B) not generally known to the public, and (C) do not in any manner contain or use or in any way were created, developed, devised or discovered by any Person using Medicis’s Confidential Information (collectively the “Supplier Confidential Information”); (b) to hold such Supplier Confidential Information in strict confidence; (c) not to disclose such Supplier Confidential Information to any Third Party except to Medicis’s Representatives on a need to know basis, provided such Representatives are subject to confidentiality provisions substantially similar to those set forth herein protecting Supplier Confidential Information; (d) to use such Supplier Confidential Information only as reasonably useful to further develop, manufacture, or commercialize any Products or any formulation based on the Products; and (e) upon termination or expiration and non-renewal of this Agreement, to destroy or return all tangible Supplier Confidential Information (including tangible media containing Supplier’s Confidential Information) to Supplier, except that one copy thereof may be maintained in the file of Medicis’s law department to document information developed. This provision shall supersede and replace any previous confidentiality or non-disclosure agreements between the Parties with respect to the subject matter hereof and be deemed to cover all information disclosed thereunder.
Supplier Confidential Information. During the term of this --------------------------------- Agreement and thereafter, API shall hold in strict confidence and shall not disclose to any third party, nor use for any purpose other than the performance of this Agreement, any business or technical information of a proprietary nature, including without limitation specifications, standards and know-how, obtained from the Supplier, MTC or YK in connection with this Agreement or the YK Agreement.
Supplier Confidential Information. Supplier Confidential Information is identified as **** that is clearly marked “confidential”. With the exception of HP’s authorized agents and subcontractors, HP will not disclose Supplier Confidential Information to any third party without Supplier’s consent.
