Common use of SUPPLEMENTAL ARRANGEMENTS Clause in Contracts

SUPPLEMENTAL ARRANGEMENTS. SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor Adviser may enter into arrangements with other persons affiliated with the Sub-Advisor Adviser or with unaffiliated third parties to better enable the Sub-Advisor Adviser to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- AdvisorAdviser, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties and may share such information as necessary to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Advisor, subject to written notification to and approval of the Manager and, where required by applicable lawAgreement. Additionally, the Board of Directors of Sub-Advisor will have the Fundability to delegate back office services to State Street Investment Manager Solutions, LLC. In all cases, the Sub-Advisor shall remain liable as if such services were provided directly. No additional fees shall be imposed for such services except as otherwise agreed.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Sub-Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors Trustees of the Fund; provided, however, that entry into any such arrangements shall not relieve the Sub-Advisor of any of its obligations under this Agreement.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other delegate some or all of its duties under this Agreement to persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Advisor, subject to prior written notification to and receipt of written approval of from the Manager and, where required by applicable law, the Board of Directors of the Fund.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund; provided, however, that entry into any such arrangements shall not relieve the Sub-Advisor of any of its obligations under this Agreement.

The Sub-Advisor Adviser may enter into arrangements with other persons affiliated with the Sub-Advisor Adviser or with unaffiliated third parties to better enable the Sub-Advisor Adviser to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- AdvisorSub-Adviser, the cost of such arrangements to be borne solely by the Sub-Adviser, subject to written notification to and approval of the Manager and, where required by applicable law, to approval of the Board of Directors of the Fund.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel personnel, non-investment, operational or compliance processes, and facilities to the Sub- Advisor, . The written notification to and approval of the Manager or the Board of Directors shall not apply with respect to arrangements entered into by the Sub-Advisor in the ordinary conduct of its business as a registered investment advisor.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund, prior to the Sub-Advisor delegating its investment advisory duties hereunder to a subadviser.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Advisor, . Arrangements with unaffiliated third parties shall be subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund.

The Sub-Advisor Sub‑Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor Sub‑Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- AdvisorSub‑Advisor, subject to written notification to and approval of the Manager where such arrangements are material to the Sub-Advisor’s responsibilities hereunder and, where required by applicable law, the Board of Directors of the Fund; provided, however, that entry into any such arrangements shall not relieve the Sub-Advisor of any of its obligations under this Agreement.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor Sub‑Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor Sub‑Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel personnel, non-investment, operational or compliance processes, and facilities to the Sub- Sub‑ Advisor, . The Sub-Advisor Sub‑Adviser may enter into arrangements with other persons affiliated with the Sub-Advisor Sub‑Adviser or with unaffiliated third parties to better enable the Sub-Advisor Adviser to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- AdvisorSub‑ Adviser, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund.

The Sub-Advisor Adviser may enter into arrangements with other persons affiliated with the Sub-Advisor Adviser or with unaffiliated third parties to better enable the Sub-Advisor Adviser to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Sub-Adviser, the cost of such arrangements to be borne solely by the Sub-Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, to approval of the Board of Directors of the Fund. 8.

The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Sub-Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund, such approval not to be unreasonably withheld; provided, however, that entry into any such arrangements shall not relieve the Sub-Advisor of any of its obligations under this Agreement.

The Sub-Advisor Adviser may enter into arrangements with other persons affiliated with the Sub-Advisor Adviser or with unaffiliated third parties to better enable the Sub-Advisor Adviser to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- AdvisorAdviser, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund; provided, however, that entry into any such arrangements shall not relieve the Sub-Adviser of any of its obligations under this Agreement.

The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Sub- Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Sub-Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor Advisor, including foreign affiliates, or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Sub-Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund. For the avoidance of doubt, the Sub-Advisor shall not be required to obtain prior approval from the Manager for global order routing through foreign affiliates.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable the Sub-Advisor to fulfill its obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Sub-Advisor, subject to written notification to and approval of the Manager and, where Classification: Company Confidential required by applicable law, the Board of Directors Trustees of the Fund; provided, however, that entry into any such arrangements shall not relieve the Sub-Advisor of any of its obligations under this Agreement.

SUPPLEMENTAL ARRANGEMENTS. The Sub-Advisor may enter into arrangements with other persons affiliated with the Sub-Advisor or with unaffiliated third parties to better enable delegate the Sub-Advisor to fulfill its Advisor’s obligations under this Agreement for the provision of certain personnel and facilities to the Sub- Sub-Advisor, subject to written notification to and approval of the Manager and, where required by applicable law, the Board of Directors of the Fund; provided, however, that entry into any such arrangements shall not relieve the Sub-Advisor of any of its obligations under this Agreement.
