Common use of Superseding Agreement; Binding Effect Clause in Contracts

Superseding Agreement; Binding Effect. This Agreement (together with the Plan and the LLC Agreement) supersedes any statements, representations or agreements of the Company or an Affiliate with respect to the grant of the Award, any other equity-based awards or any related rights, and, by entering into this Agreement, the Participant hereby releases and waives any claims or potential claims against the Company, any Affiliate, the Administrator, and the officers, agents and representatives of the Company or any Affiliate related to such obligations, representations or statements. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective executors, administrators, next-of-kin, successors and assigns.
