Suggestions and Feedback. If you provide us with any suggestions, feedback or input (“Customer Input”) related to our Services, we (and our corporate group entities) will own all right, title and interest in and to the Customer Input, even if you have designated the Customer Input as confidential. We and our corporate group entities will be entitled to use the Customer Input without restriction. You assign to us all right, title and interest in and to the Customer Input and agree to provide us with any assistance we may require to document, perfect and maintain our rights in the Customer Input. For this purpose the word: “assign” is legal term which means legally transferring the benefit, such as you legally transferring the benefit of the Customer Input to us.

Suggestions and Feedback. Either party may from time to time provide suggestions, comments or other feedback to the other party with respect to Confidential Information provided originally by the other party (hereinafter "Feedback"). Both parties agree that all Feedback is and shall be entirely voluntary and shall not, absent separate agreement, create any confidentiality obligation for the Receiving Party. However, the Receiving Party shall not disclose the source of any feedback without the providing party's consent. Feedback shall be clearly designated as such and, except as otherwise provided herein, each party shall be free to disclose and use such Feedback as it sees fit, entirely without obligation of any kind to the other party. The foregoing shall not, however, affect either party's obligations hereunder with respect to Confidential Information of the other party.

Suggestions and Feedback. Any and all creative suggestions, ideas, notes, drawings, concepts, feedback or other information that you provide to the Licensor (collectively, “Submissions”) are deemed to be the property of the Licensor and the Licensor will own all now known or hereafter existing copyrights and all other intellectual property rights to all Submissions of every kind and nature, worldwide and in perpetuity, and you hereby assign to the Licensor all such intellectual property rights to the extent owned by you. You agree, at the Licensor’s request, to execute such further documents and do such further acts as may be necessary or desirable to document or enforce the Licensor’s ownership of the Submissions, including, without limitation, execution of a copyright assignment in a form provided by the Licensor in its sole discretion. If you fail or refuse to execute any such documents, you hereby appoint the Licensor as your attorney in fact, which appointment is coupled with an interest and is irrevocable, to act on your behalf and to execute, deliver, record and file any such documents as may be necessary or desirable.

Suggestions and Feedback. Research Participant may provide to Autodesk reasonable suggestions, comments and other feedback with respect to the Confidential Information provided by Autodesk ("Feedback"). Feedback, even if designated as confidential by Research Participant, shall not, absent a separate written agreement, create any confidentiality obligation for or upon Autodesk. Research Participant grants Autodesk, under all of Research Participant’s intellectual property and proprietary rights, the following worldwide, non-exclusive, perpetual, irrevocable, royalty free, fully paid up rights: (1) to make, use, copy, modify, and create derivative works of, the Feedback as part of any Autodesk product, technology, service, specification or other documentation (individually and collectively, “Autodesk Works”), (2) to publicly perform or display, import, broadcast, transmit, distribute, license, offer to sell, and sell, rent, lease or lend copies of the Feedback (and derivative works thereof) as part of any Autodesk Work, (3) solely with respect to Research Participant’s copyright and trade secret rights, to sublicense to third parties the foregoing rights, including the right to sublicense to further third parties, and (4) to sublicense to third parties any claims of any patents owned or licensable by Research Participant that are necessarily infringed by a third party product, technology or service that uses, interfaces, interoperates or communicates with the Feedback or portion thereof incorporated into a Autodesk product, technology or service. Further, Research Participant warrants that Research Participant’s Feedback is not subject to any license terms that would purport to require Autodesk to comply with any additional obligations with respect to any Autodesk Works that incorporate any Feedback. The rights granted to Autodesk hereunder shall survive any termination or expiration of this Agreement.

Suggestions and Feedback. If either Party provides the other Party with any suggested improvements to a Program, NFR Account, Avalara Assets, the Partner Portal, Intellectual Property, the Services, Partner’s Solution or any other products or services of such Party, then that Party also grants the other Party a nonexclusive, perpetual, irrevocable, royalty free, worldwide license, with rights to transfer, sublicense, sell, use, reproduce, display, and make derivative works of such suggested improvements. Notwithstanding the foregoing, nothing in this Section 3(c) (Suggestions and Feedback) grants a Party a license to use any Inventions covered by a registered patent owned by the other Party.
