Common use of Successful Defense Clause in Contracts

Successful Defense. Without limiting the generality of Section 10.2 and in addition to the indemnification provided for in Section 10.2, the Company shall indemnify every Indemnitee against reasonable expenses incurred by such Indemnitee in connection with any Proceeding in which he is a witness or a named defendant or respondent because he served in any of the capacities referred to in Section 10.1, if such Indemnitee has been wholly successful, on the merits or otherwise, in defense of the Proceeding.

Successful Defense. Without limiting the generality limitation of Section 10.2 and in addition to the indemnification provided for in Section 10.2, the Company shall indemnify every Indemnitee against reasonable expenses incurred by such Indemnitee person in connection with any Proceeding in which he is a witness or a named defendant or respondent because he 15/19 Bylaws of Vertex Energy, Inc. served in any of the capacities referred to in Section 10.1, if such Indemnitee person has been wholly successful, on the merits or otherwise, in defense of the Proceeding.

Without limiting the generality limitation of Section 10.2 11.2 and in addition to the indemnification provided for in Section 10.211.2, the Company shall indemnify every Indemnitee against reasonable expenses incurred by such Indemnitee person in connection with any Proceeding in which he is a witness or a named defendant or respondent because he served in any of the capacities referred to in Section 10.111.1, if such Indemnitee person has been wholly successful, on the merits or otherwise, in defense of the Proceeding.
