Common use of Substituted Members Clause in Contracts

Substituted Members. (a) Except as otherwise provided in Section 6.1, no Member shall have the right to substitute in its place a purchaser, assignee, transferee, donee, heir, legatee, or other recipient of all or any portion of the Membership Interest of such Member. Any such purchaser, assignee, transferee, donee, legatee, distributee or other recipient of an interest shall be admitted to the Company as a substituted Member only with the consent of a Majority in Interest of the Members, which consent may be granted or withheld by any Member in its sole discretion.

Substituted Members. (a) Except as otherwise provided in Section 6.1, no Member shall have the ----------- right to substitute in its place a purchaser, assignee, transferee, donee, heir, legatee, or other recipient of all or any portion of the Membership Interest of such Member. Any such purchaser, assignee, transferee, donee, legatee, distributee or other recipient of an interest shall be admitted to the Company as a substituted Member only with the consent of a Majority in Interest of the Members, which consent may be granted or withheld by any Member in its sole discretion.
