Subsidies Contracts. Each of the Material Contracts has been duly authorized by the Operating Corporation which is a party thereto and has been or is being duly performed by or on behalf of the Operating Corporation, is in full force and effect and has not been the subject of a notice of termination, cancellation or non-renewal (other than as a result of the transactions contemplated herein).
