SUBSEQUENT TERMINATIONS OR LAYOFFS. Other than as specifically referenced in this Section 7.2, with respect to any termination or layoff by Purchaser of any Acquired Employee after Closing, Purchaser will comply fully with all applicable laws, including without limitation any laws relating to employee notification (such as with the Worker Adjustment and Retraining Notification Act of 1988 ("WARN") and any related state laws in the United States), and all laws relating to discrimination in employment or unfair employment practices. Purchaser will be solely responsible for all costs related to such termination or lay off of any Acquired Employee, including but not limited to severance expenses, penalties, damages and attorney's fees related thereto. Notwithstanding the preceding sentence, Seller will reimburse Purchaser for any of the Acquired Employees at Itasca and up to five (5) of the Acquired Employees at Xxxxxx who are terminated by Purchaser prior to January 31, 2004. Said reimbursement will be based on the payment of severance benefits actually paid in accordance with Seller's severance policy and will be made following submission of an invoice by Purchaser along with a signed release of liability (for Seller's as well as Purchaser's benefit) by the terminated Acquired Employee in a form approved by Seller.

SUBSEQUENT TERMINATIONS OR LAYOFFS. In any termination or layoff by Operating Company of any Hired Employee after the Closing, Operating Company will comply fully (where applicable) with the Worker Adjustment and Retraining Notification Act of 1988 ("WARN") and all other applicable Federal, state and local laws, including those prohibiting discrimination and requiring notice. The Operating Company will be solely responsible for any severance expenses due a Hired Employee as a result of any such termination or layoff and will bear the cost of compliance with (or failure to comply with) any such laws. For six months after the Closing, Operating Company will maintain severance benefits comparable to severance benefits in effect, immediately prior to the Closing, for TRW Employees or Partnership Employees as the case may be.
SUBSEQUENT TERMINATIONS OR LAYOFFS. Buyer will be solely responsible for all costs related to the termination or layoff of a Transferred Employee by it after the Closing Date, including but not limited to severance expenses, penalties, damages and/or attorneys’ fees related to Buyer’s failure to comply with the WARN Act or any other applicable law (“Lay-off Payments”). Buyer will give all Transferred Employees full credit for such employee’s services with TRW or any Subsidiary thereof prior to the Closing Date. TRW shall be solely responsible for all Lay-off Payments with respect to terminations of employment of any Affected Employees before or after Closing and arising from any notice of termination given by TRW or any of its subsidiaries of any Affected Employee prior to the Closing Date. TRW shall be solely responsible for all severance payments (and similar payments) to Affected Employees incurred as a result of the transactions contemplated by this Agreement which are not caused (i) by Buyer’s failure to offer employment to or accept transfers of employment of Affected Employees consistent with Section 6.8(b) or (ii) by a termination of employment following the Closing Date. TRW will also be responsible for complying with all obligations and liabilities arising under the WARN Act and any comparable state law with respect to any actions taken by TRW prior to or on the Closing Date.

Notwithstanding any cessation of the sale to RFC VIII of additional Receivables, Receivables sold to RFC VIII prior to the occurrence of such Insolvency Event and Collections in respect of such Receivables shall continue to be property of RFC VIII available for transfer by RFC VIII to the Trust pursuant to the Transfer Agreement. To the extent that it is not clear to TRS whether collections relate to a Receivable that was sold to RFC VIII or to a receivable that TRS has not sold to RFC VIII, TRS agrees that it shall allocate payments on each Account with respect to the principal balance of such Account first to the oldest principal balance of such Account.   • Commitment Terminations The Term A-2 Loan Commitments and Additional Term A-2 Commitments shall automatically terminate upon the making, conversion or continuance, as applicable, of the Term A-2 Loans and Additional Term A-2 Loans on the Amendment and Restatement Effective Date. The Borrowers shall have the right at any time and from time to time, upon three (3) Business Days’ prior written notice to the Administrative Agent (which notice may conditioned upon the effectiveness of other credit facilities, indentures or similar agreements or other transactions, in which case such notice may be revoked by the Borrowers (by notice to the Administrative Agent on or prior to the specified effective date) if such condition is not satisfied), to terminate the Revolving Credit Commitments in whole or in part, any partial termination to be (i) in an amount not less than $1.0 million or any greater amount that is an integral multiple of $0.1 million and (ii) allocated ratably among the Lenders in proportion to their respective Revolver Percentages; provided that the Revolving Credit Commitments may not be reduced to an amount less than the sum of the aggregate principal amount of Revolving Loans and of L/C Obligations then outstanding; provided further that all Revolving Credit Commitments shall terminate automatically on the Revolving Credit Termination Date. If UBS elects to terminate this Agreement as provided in this Section 7, the Company and each other Underwriter shall be notified promptly in writing. If the sale to the Underwriters of the Securities, as contemplated by this Agreement, is not carried out by the Underwriters for any reason permitted under this Agreement, or if such sale is not carried out because the Company shall be unable to comply with any of the terms of this Agreement, the Company shall not be under any obligation or liability under this Agreement (except to the extent provided in Sections 4(k), 5 and 9 hereof), and the Underwriters shall be under no obligation or liability to the Company under this Agreement (except to the extent provided in Section 9 hereof) or to one another hereunder.

  • Term of Agreement; Termination The term of this Agreement shall commence on the date hereof and such term and this Agreement shall terminate upon the earlier to occur of (i) the Effective Time, and (ii) the date on which the Merger Agreement is terminated in accordance with its terms. Upon such termination, no party shall have any further obligations or liabilities hereunder; PROVIDED, HOWEVER, such termination shall not relieve any party from liability for any breach of this Agreement prior to such termination.
