Subsequent Participants Clause Samples
Subsequent Participants. Upon any Subsequent Participant’s execution of a Subsequent Participant Agreement, this Agreement shall be binding upon and represent an agreement by such Subsequent Participant with respect to the matters described in this Agreement. The mutual covenants contained in this Agreement constitute due and adequate consideration for the full performance by each such Subsequent Participant of its obligations under this RPA.
Subsequent Participants. 1. A Subsequent Participant may become an RPA Participant in the Program by executing a Subsequent Participant Agreement (see Schedule B) and paying its share of Development Costs as set forth in section VIII.B.2. By executing a Subsequent Participant Agreement, a Subsequent Participant agrees to participate in the Program in accordance with the terms and conditions of this RPA and will be considered an RPA Participant upon signing the Subsequent Participant Agreement and payment of its share of Development Costs, provided that, if such Subsequent Participant was previously an RPA Participant and owes any Program Costs or Termination Costs from its prior time as an RPA Participant, it will be required to pay such amounts in full before again becoming an RPA Participant.
2. The RPC may not reject a Subsequent Participant’s request to participate in the Program provided that such Subsequent Participant executes a Subsequent Participant Agreement and submits payment of its share of Development Costs as set forth in section VIII.B.2. All RPA Participants shall be admitted to participation in the Program pursuant to the terms of this RPA, and no Subsequent Participant may be admitted to participation in the Program on any different or more favorable terms than those previously agreed upon with other RPA Participants unless this Agreement is amended pursuant to section XVII.C.
