Common use of SUBMISSION TO JURISDICTION; WAIVER OF VENUE Clause in Contracts

SUBMISSION TO JURISDICTION; WAIVER OF VENUE. The Borrower submits to the nonexclusive jurisdiction of the United States District Court of the Southern District of New York and of any New York State court sitting in New York for the purposes of all legal proceedings arising out of or relating to this Agreement or the Transactions contemplated by this Agreement. Each Party irrevocably waives, to the fullest extent permitted by applicable law, any objection that it may not or in the future have to the laying of the venue of any such proceeding brought in any such court and any claim that any such proceeding brought in any such court has been brought in an inconvenient forum.
